2026 Best Business Debt Settlement Lawyers in Washington
Reviewed by NYCCriminalAttorneys.com Blogging Team · Last updated
Bottom line: The honest answer is that there really is no single “best” lawyer for debt negotiations. Unless you enjoy wasting time, calling around to a bunch of lawyers who don’t specialize in your exact matter, hoping to find someone who can handle your unique needs, I’d recommend finding one who does this every day - someone who can explain what you need to know, from beginning to end, before you even ask. When shopping around, try to find an attorney who specializes in debt renegotiation with businesses that have taken out Merchant Cash Advances (MCA’s). A lawyer negotiates the principal balance down to a lower payoff. The lawyer can also defend the lawsuits as necessary, in order to buy you time to raise the funds for settlement. In practical terms, that’s as close to a “best” lawyer for debt negotiations that exists.

Work with a Settlement Company
If you decide to work with a settlement company, you should realize the company is not a law firm and will not represent you in court if you are sued. The company can’t give you legal advice because it’s not a law firm, and any legal advice it may give may be illegal and inaccurate. Washington’s debt adjusting law applies only to debt adjusters, and does not apply to attorneys doing work which is incidental to practicing law. However, there are also non-attorney adjusters who are licensed, who may charge a maximum of 15% of the total debt listed in the contract.
You have undoubtedly heard advertisements promising incredible savings - sometimes payments cut in half. This sounds great, but what happens in reality? These companies collect monthly payments from your bank account and are supposed to save money on your behalf to pay settlements to your creditors. Too often, the bank accounts and receivables of a business get frozen up before anything can be settled. A painful reality is that when you’ve paid a non-refundable fee, you’re unlikely to ever see this money again. Often funders add their own contract fees as well. For example, these fees typically consist of insufficient funds fees each time your payment bounces ($35), a charge for any stop payment ($500 - $5,000), and a default fee ($2,500 - $5,000). If you follow a company through the entire process and default along the way, you are likely to be in a worse financial position than you were prior to contracting with them.
UCC Lien
The biggest problem for a small business that does not know its options is a UCC lien. You can probably recall that, as part of the funding agreement, you’ve already signed away these lien rights. When you get a judgment, your bank accounts freeze, but with a UCC lien, the receivables freeze before they even reach the bank. Once the lien exists, within a day or two, the funder sends it to every card processor it’s aware of (Square, Paypal, Stripe, &c.) as well as to customers it’s found in your bank statements. Customers are told to start paying the funder, not you. Some people stop doing business with you when it happens.
Funders can also use a confession of judgment, an agreement that you will not defend against certain claims. New York banned “confession of judgments” against out-of-state business owners in 2019, but financial funders now file them in other states that permit them, like Texas, Illinois, and Utah. Most funders still get judgments the traditional way, through a lawsuit. An out-of-state judgment (from NY, TX, etc.) can be domesticated in Washington to reach assets here. Collection was less of an issue during MCA’s early days, but as the industry grew and defaults rose, funders have taken a more aggressive stance.
The creditor cannot wait forever. It has six years to file suit against you on your written contract. In Washington, judgments are good for ten years, with the possibility of a one-time ten-year extension. The judgment creditor can collect the contract interest rate if that’s stated in the judgment.
Debt Renegotiation Lawyer
A good debt restructuring attorney also has leverage when the funder wants all or most of its money. The argument is that a true MCA is not a loan, but an amount a funder pays in advance for future receivables, which should only be due as the funds actually come into the merchant’s account. If no funds are present, the funder should not be collecting. Some Merchant Cash Advance contracts earn the funder as much as 100% to 200% of the “loan” amount or more. If they were deemed loans, they’d be usurious in most states. Unsurprisingly, many contracts are poorly drafted. A debt renegotiation lawyer can sue to void the contract.
Brokers in this business make a commission for each signed deal, and don’t care whether you ever repay. They try to stack you up with many different funders at once. They may lie to you about it just being a temporary funding stopgap until the broker “gets a loan for you”. Your lawyer can sue them with a third-party complaint against the broker.
Bankruptcy is another route, but most cash advances are personally guaranteed. Personal bankruptcy discharges your own personal obligation under a guarantee, but the business obligation under the MCA remains. A business bankruptcy doesn’t change the personal liability under a guarantee. An experienced commercial lawyer can set up a personal bankruptcy filing in Chapter 7 or 13, and the right business chapter as well. For a business, a Chapter 7 or a Chapter 11 is an option. If the business has under $3,424,000.00 in debt, a Subchapter V Chapter 11 may be an option. The total court costs for a new Chapter 11 filing is $1,738.00.
Settling for less can carry tax consequences. The IRS generally treats the forgiven amount of any debt as taxable income, so it’s as if you had received income. As to business, it goes on your business tax return. If you’re insolvent - you have more debts than assets - you may not owe tax on part or all of the forgiven debt. The exclusion can be claimed on IRS Form 982.
To find a lawyer, note that the Washington State Bar Association does not do referrals; you can look into your local area bar associations instead. The bar associations for King County, Snohomish County, Tacoma-Pierce County, Clark County, and the San Juan Islands run referral services. You can also search the lawyer directory on the American Bar Association website.
You should get the fee in writing before paying it. If you are charged a flat fee, the lawyer can keep it on receipt only if there was a signed agreement in writing made in advance, and it must tell you a partial refund may be owed if the work is not completed. If a lawyer has behaved badly, you can file a grievance with the Washington State Bar Association by filling out an online form. The WSBA will not help you dispute legal fees with a lawyer, and directs these cases to Resolution Washington or to local dispute resolution centers.
A settlement can be great for some owners, and horrible for others. Take some time to understand the risks before signing anything.
