2026 Best MCA Defense Lawyers in Cleveland, OH

Bottom line: There is no “best” lawyer per se. Finding the right Merchant Cash Advance (MCA) legal defense lawyer for your business in Cleveland, Ohio, isn’t easy. You should hire an MCA defense attorney who is admitted in your local jurisdiction. Being local means that the attorney knows the area and, most importantly, is familiar with local laws and rules. Here’s why it matters.

Delancey Street

Attorney-Coordinated MCA Defense & Settlement - $100M+ Settled Nationwide
Delancey Street is not a law firm - and that distinction is crucial. They coordinate with a nationwide network of licensed attorneys who fight for Cleveland business owners. Their attorneys don’t just negotiate - they go to battle. COJ challenges, usury defenses, UCC lien disputes. They use Ohio’s 8% usury cap, the state’s strict cognovit note requirements, and New York’s dual usury framework. They raise criminal usury defenses, challenge overbroad UCC-1 filings with the Ohio Secretary of State, and use the NY AG’s Yellowstone settlement to beat funders into settling. Over $100M settled. No upfront fees. This is what they do.
Best for: Cleveland business owners facing MCA defaults, COJ filings, frozen accounts, stacked advances, or UCC liens

Confession of Judgment

Funders issue confession of judgment. Ohio allows them. A confession of judgment agreement provides funders with several advantages. For example, there is no need to go to trial. The court does not need to consider the merits of a lawsuit. The court accepts the confession of judgment agreement as fact. Therefore, the result is that judgment is entered without any hearing or arguments. Being able to skip the litigation process can really hurt a small business.

Ohio’s law covering cognovits is a bit complicated. For consumer loans, cognovits are banned. A lender can legally insert a “warrant of attorney” clause into a business loan agreement to authorize an attorney to appear in court and confess a judgment if the debtor defaults on the debt. However, Ohio imposes strict format and language rules in R.C. 2323.13 that govern this, and failure to comply with them renders the clause invalid.

In terms of where it gets filed, Ohio law says that if you live or signed a contract in an area served by a municipal court in Ohio, your judgment must be confessed there (so long as that court has jurisdiction, of course), whatever the contract says. As of Aug. 30, 2019, New York state law (CPLR 3218) bars confession-of-judgment lawsuits against out-of-state businesses that have no place of business there.

When a confessed judgment has been entered, the court must notify you by personal service or by certified or registered mail. That letter is when a lawyer matters most. Cognovit provisions are not necessarily unassailable, despite what they, or their accompanying paperwork might suggest. Indeed, nothing is guaranteed, but you might have options, if you pursue them. For example, you can try to get an Ohio court to erase (“vacate”) a confessed judgment by filing a motion. Without a hearing, the court does not find out the merits of the lawsuit. This means that there can be legitimate defenses that will never be heard or considered. It’s easier to overturn a confessed judgment, Ohio appeals courts have held. It also makes sense if you consider the idea that, when you signed a confessions of judgment contract, you essentially waived (gave up) your right to a day in court.

What Your Defense Attorney Should Do

In general, here’s what your defense attorney should do for you. The contract between the merchant and lender contains the terms of repayment, costs and advances. Any individual or business facing a lawsuit on an MCA must review this contract to understand repayment requirements. By reviewing it early, attorneys will understand the unique agreement, allowing them to bring forward the best defense for the case. Negotiation is possible, and perhaps even preferable. An attorney can step in and speak with the merchant cash advance lender to solve the dispute. A defense attorney may be able to negotiate a settlement, reducing the amount due and possibly preventing a lawsuit.

Whether you are pursuing debt settlement or another legal strategy, the attorney should review the contract’s terms and determine if the merchant cash advance was actually a loan, which means it comes with different requirements for legal enforcement. It all starts with confusing terminology. For example, funders don’t give money and call it a “loan.” Instead, they call it an “advance” or a “repurchase” (or something else). Calling it “something else” doesn’t necessarily matter to a court. The consequences of being wrong can be tremendous. That was the lesson of the January 2025 New York AG settlement with Yellowstone Capital, a $1.065 billion judgment. The AG said Yellowstone’s “advances” were loans and they charged rates up to 820% a year.

One Who Specializes in Defending Lawsuits

When interviewing an attorney, you must find one who specializes in defending lawsuits and other legal actions from MCA lenders or funders. You should check the law license and ask about experience defending an MCA case or a defaulted business loan. Good standing and other details about a lawyer’s disciplinary history is also available online on the Supreme Court of Ohio’s certificate of good standing. Referral services for legal help may be found online through the Cleveland Metropolitan Bar Association. Its referral service charges a non-refundable $25 fee. The service connects people with a local lawyer for an initial half-hour consultation. This covers only one legal matter. Fees are then set by the lawyer. Fee agreement should be clearly stated in writing.

Interview a couple of lawyers and ask about the strategy they will use to defend your case. This gives you the opportunity to compare legal advice and approaches. If you don’t connect with one of the attorneys, you can choose another. Ask if the lawyer you meet at the first meeting will actually handle the case or will pass the file off to someone else. Is the attorney transparent about the work and how much it is going to cost? Ask for a letter setting out their fee, the strategy and scope of their work. No one can promise or guarantee an outcome.

Show up ready for your first lawyer meeting by assembling and organizing paperwork. Collect copies of your bank statements, MCA contracts, and other documents. Also gather any correspondence from the funders or sales representative. If you have already received a demand letter or suit, those must be reviewed, too. Know when the deadline is. If you take the time to read and compare the contracts from each advance, you will understand repayment amounts and any hidden or additional costs.
