Defending the Debt Collection Case

A debt settlement lawyer’s expertise in negotiation can’t be understated, but you have to know whether that comes with defending the debt collection case should you be sued. Only hire a lawyer who is willing and able to negotiate AND defend you if the debt gets filed in court. You have to find someone who can really defend both the business and the owner if both were sued. If you have a debt negotiation company handling things already, confirm the lawsuit defense is being handled by a lawyer who has agreed to take each case for each person (business owner and business entity).

There is no universal default answer for how long you have to respond to a case. It is entirely dependent on where the case is filed and how you were served. You can’t assume you have 30 days from the day you open the letter. Starting a relationship with the debt funder doesn’t pause the lawsuit.

Important case documents include the summons, complaint and exhibits attached. The envelope it came in also contains important information. Mark the dates you received things, how you received them, and by whom. Pull out any bank statements showing payments. If you have this debt out for negotiation, email records should be saved as well.

A good lawyer will want to evaluate a lot of issues before they give you a plan tailored to your situation. Your lawyer will want to compare the signed version of the MCA with the balances alleged in the complaint. Your lawyer will need to know how much credit the funder applied, whether it is true, and what fees and payments were applied and when.

A merchant cash advance isn’t always a loan - there is an issue of whether what you received was a loan. The name of the agreement is not the deciding factor. If you were documenting disputes with the funder, seeing that documentation in the merchant processing account or email accounts might be key.

You also want to confirm how you or the business was served. It is worth a look at any clauses on where disputes go and/or governing law or arbitration. If you aren’t in the state where the case is filed, that fact doesn’t by itself mean the judge cannot rule on the case.

The lawsuit may name the business owner alongside the business entity as a defendant. Reviewing the complaint and initial documents will let the lawyer know who all the defendants are and what conduct the debt funder alleges triggered the personal guaranty. Being sued as the business owner may affect the way you see the dispute; your defense may be different than the business entity’s.

The lawyer has different ways to fight back. What they do may depend on the case. Your lawyer may file an answer with defenses, bring a motion with the court, take steps to get documentation from the other side, oppose a motion for judgment from the creditor, or negotiate with the other side. An answer or motion to dismiss doesn’t mean you can ignore court dates.

The proposed lawyer should be willing to put in writing what they are agreeing to do and how much that will cost. In Wyoming, a contingent fee agreement has to be on paper. That means you cannot agree to it over the phone; it has to be made in two copies, and both lawyer and client have to sign it.

Funds Are Frozen

If your account is frozen or notice sent to your customers, you need the actual document. A notice of a UCC filing or a notice of assignment isn’t the same thing as a notice from a bank that funds are frozen. If you got a subpoena or a court order, this is different too. Hiring a lawyer doesn’t automatically fix this, and there is no one-size-fits-all approach. Do not take action or move funds or assets until you have consulted a professional and carefully considered whether the move makes sense.

You should absolutely call a lawyer if you have a judgment against you. You may be able to take legal action to undo the judgment. If the debt collector filed the lawsuit with a confession of judgment, there’s a chance that will not be enforceable in the state where the lawsuit is filed. In Wyoming, for a bank account, you have 10 days to object to the garnishment after the writ is served. The maximum on wage garnishments is 25% of your disposable weekly earnings or the amount above 30 times federal minimum wage (whichever is less).

Settling an MCA Lawsuit

A good lawyer will carefully evaluate all options in deciding whether and when to negotiate. Keep in mind, the balance you negotiate down to settle your lawsuit could still be a lot even with lower payments. If you make a payment on a contract debt, or sign a written acknowledgment or promise to pay it, you restart the time limit for a lawsuit from that date (W.S. 1-3-119).

When you agree on a settlement to any MCA lawsuit, get a written version before signing. This document should state the final balance agreed to, timing and amount of all settlement payments, the person and account being paid for, and release of any personal guarantees signed by the owner for the business. The debt collector should agree to dismiss the case and indicate what happens if you miss a payment. There should also be a statement agreeing that the debt funder will release any UCC filings against the business. Also make sure that both the business and the business owner are released, if those were the defendants in the lawsuit.

Settling an MCA lawsuit with one funder means settling that funder’s contract. Make sure you can identify each MCA and with which company. Depending on your financial situation, debt forgiven in a settlement could trigger a tax issue. The IRS exclusion for “insolvency” (losing canceled debt as income for tax) only covers canceled debt up to the amount you were insolvent right before the cancellation. Claim the IRS insolvency exclusion on Form 982.

To find the lawyer who fits you best, you may need to make a shortlist and ask a lot of questions. You have to be comfortable asking questions and voicing doubts.
