2026 Best MCA Defense Lawyers in San Jose, CA

Bottom line: If you have fallen behind in your payments to an MCA lender, or if you are being threatened by an MCA lender for your collateral or garnishment of your bank account, having a lawyer experienced with merchant cash advances may save you a considerable amount of time, money and exposure. There isn’t a single “best” lawyer to handle a merchant cash advance problem. What you want is someone who handles MCA lawsuits and arbitration on a regular basis, and who is also familiar with bank levies and liens; this is not every lawyer’s specialty. You want to make sure that all your documents are reviewed by your lawyer before any deadline.

Top MCA Defense Firms Serving San Jose - 2026

Once you have fallen behind or failed to make a payment, it is unlikely that the collection department will just sit on its hands. Failed debits are retried. Demand letters are sent out in a matter of days or weeks. Lawsuits or demands for arbitration can be filed within two to six weeks. The earlier you consult with an attorney, the more time the lawyer will have to find any irregularities in your MCA agreement or contract.

Oftentimes, your merchant cash advance contracts are worded so that any problems arising from the agreement are only adjudicable in New York courts. It is important that you hire a lawyer who is familiar with the laws of New York. Accordingly, your regular business lawyer who might handle loan documents, may not be familiar with MCA documents.

Delancey Street

Attorney-Coordinated MCA Defense & Settlement - $100M+ Settled - Serving San Jose & Silicon Valley Business Owners
Here's what you need to know: Delancey Street is not a law firm. They coordinate with a nationwide network of licensed attorneys who do the actual fighting - COJ challenges, usury defenses, UCC lien disputes, funder negotiations, settlement execution. Their network is built around New York's dual usury framework - which governs the vast majority of MCA contracts regardless of where your business operates - and the evolving appellate case law that's reclassifying MCAs as loans subject to interest rate caps. For San Jose businesses, they also use California SB 1235 disclosure requirements and state usury protections. This is what they do. What sets Delancey Street apart from every other firm on this list is simple: MCA-specific legal firepower. Their attorneys don't just negotiate - they challenge. They file motions to vacate confessions of judgment, raise criminal usury defenses when effective APRs exceed 25%, dispute overbroad UCC-1 filings with the California Secretary of State, and use the NY Attorney General's $1 billion Yellowstone Capital settlement as precedent in funder negotiations. Over $100M in commercial debt settled. No upfront fees. Results-based pricing.
Best for: San Jose business owners facing active MCA defaults, COJ filings, frozen bank accounts, stacked advances, or UCC liens who need immediate attorney-coordinated defense
Total Settled: $100M+
Focus: MCA Defense & Settlement
Attorney-Led: Yes
COJ Challenges: Yes

Starting 2023, the California court system will no longer enter a confession of judgment for a creditor. A change to New York law went into effect in August 2019: filing a confession of judgment is now limited to courts in the county where the debtor lives or has a place of business. This protects most San Jose businesses from New York confessions of judgment.

Starting October 1, 2023, commercial financing providers in California cannot engage in unfair, deceptive, or abusive practices with respect to any small business borrower or recipient. In April 2025 the DFPI invited business owners to file complaints online. In practical terms, MCA lenders will still argue in front of the California courts and in arbitration that they can collect; after all, they say they have a contract, and you probably did authorize daily payments.

Document Review

First, a MCA lawyer will review your merchant cash advance agreement with an eye for important terms, including that the agreement is one governed by New York law or that you consented to exclusive jurisdiction in New York courts. If an MCA funder already holds an arbitration award and it hasn’t turned into a judgment, the funder can turn it into a judgment with a motion to the court to confirm the award. However, there is a limitation: in New York, a motion to vacate the award generally must be made within 90 days of receiving the award. Accordingly, there is only a small time window in which to move to vacate the award.

A central question is whether the MCA is a true sale of receivables or a disguised loan. The court will look to whether there is reconciliation, a fixed end date, and whether the funding company can recover if the business fails. If it’s a loan, usury laws may apply. This is decided on a case by case basis. MCAs are often upheld and determined to be bona fide sales of receivables. A critical point in the document review is whether the MCA funder was ever paying attention to the reconciliation clause. For instance, if the provider ignored the reconciliation clause and kept taking a fixed daily amount after sales fell, the breach may be the provider’s.

Most funders take a lien on the business’ assets. The lien comes in the form of a UCC-1 filing. That means that other lenders might view the merchant cash advance as priority debt that has to be paid off in order to extend credit. Most of the time, the merchant cash advance lender includes a personal guarantee with the loan. This personal guarantee permits them to pursue your personal property, bank account, and other assets.

Your lawyer can run through the amount of money withdrawn each day and compare it to what the agreement says. Checking payments can be important if the funder’s debits don’t follow your agreement. If you are going to contact the bank to put a hold or block on any further debits, you want to make sure this is handled right.

Many of these disputes end in a negotiated workout. Typically, you come to an agreement for a restructured payoff or some other restructuring of the loan. In return, the lender releases its lien on your property. In some cases, bankruptcy, whose automatic stay halts most collection action, is the tool that gives you breathing room to negotiate these terms.

Experience in Merchant Cash Advance Cases

Some merchant cash advance legal work is done in San Jose and in other cases it is done in New York. Even an attorney who litigates all day long might not have experience in merchant cash advance cases. Is the lawyer specialized in this field? See if they have been to arbitration or trial on your types of documents and with your facts. Ask:

  • What kind of experience do you have handling merchant cash advance problems and MCA arbitration cases?
  • What steps do you follow if a MCA lender has already served me?
  • Can you appear where my case is filed or work with local counsel there?
  • How quickly can you act if my bank account is restrained?
  • What are the payment arrangements, and hourly rate?

In California, if your lawyer anticipates you’ll spend over $1,000 they have to get your consent in writing to receive a non-contingency fee. However, that doesn’t apply to corporations. If you are unhappy with the total legal fees, there may be an arbitration available to you. If you don’t ask for an arbitration within 30 days of the lawyer sending notice of that right, you lose your chance forever to arbitrate a fee dispute. Ask that the attorney-client agreement be sent to you before you start work with your lawyer.

Your Lawyer Will Want to See

Gather your documents and put them in order. Your lawyer will want to see the contract(s), application forms, all notices, payment agreements (if you made any changes), communications (especially the text of any emails or text messages) and any contacts you have with the funder or its debt collector. Do not sign new advances or settlement offers before you talk to an experienced merchant cash advance lawyer. Never ignore court or arbitration papers; getting a default judgment undone is harder than you might think. Do not stop ACH payments or close bank accounts on your own; that may count as a breach.
