2026 Best MCA Defense Lawyers in Seattle, WA

Bottom line: There is no official ranking of merchant cash advance (MCA) defense lawyers in Seattle. The best one for you is the one who handles merchant cash advance cases regularly, knows the cash advance industry, and will review your documents before your response deadline runs out. The lawyer should be able to appear where the funding company is suing you. Often this is in New York. A good place to start is King County Bar’s referral service.

Top MCA Defense Firms for Seattle Businesses - 2026

Merchant cash advance cases move fast. They can turn into collection notices and court papers in days or weeks. It’s a special world, and a general business lawyer may not know the terms, procedures, or parties. The worst thing to do is ignore court papers. If you sit on them, you risk a default judgment.

Delancey Street

Attorney-Coordinated MCA Defense & Settlement - $100M+ Settled Nationwide

Let’s be clear: Delancey Street is not a law firm. They’re a specialized MCA debt settlement company that works with a nationwide network of licensed attorneys - attorneys who handle COJ challenges, usury defenses, UCC lien disputes, funder negotiations, and settlement execution for Seattle business owners. Their attorney network is built around New York’s dual usury framework - which governs the vast majority of MCA contracts regardless of whether your business is in Pioneer Square or Fremont.

For Seattle’s tech companies and small businesses - Delancey Street’s attorneys don’t just negotiate. They fight. They file motions to vacate confessions of judgment, raise criminal usury defenses when effective APRs exceed 25%, dispute overbroad UCC-1 filings with the Washington Secretary of State, and use the NY Attorney General’s $1 billion Yellowstone Capital settlement as precedent in funder negotiations. Over $100M in commercial debt settled. No upfront fees. Results-based pricing.

Best for: Seattle business owners facing active MCA defaults, COJ filings, frozen bank accounts, stacked advances, or UCC liens who need immediate attorney-coordinated defense
Total Settled: $100M+
Focus: MCA Defense & Settlement

CuraDebt

25+ Years in Business Debt & Tax Resolution - IAPDA Certified

Let’s be straight: CuraDebt is not a law firm and is not an MCA defense specialist. They’re a debt resolution company with over 25 years of experience handling business debt, consumer debt, and IRS/state tax resolution. If your Seattle business situation involves both MCA debt and tax obligations - including Washington State B&O tax issues - CuraDebt can address the tax side while a firm like Delancey Street handles the MCA defense. They don’t challenge COJs, raise usury defenses, or file legal motions against MCA funders.

Best for: Combined business debt and tax resolution - IRS/state negotiations, multi-layered financial situations (not MCA-specific defense)
Years in Business: 25+
Tax Resolution: Yes (IRS & State)
MCA Defense: No

The Contracts

Often there is a personal guaranty on the contract, which opens the LLC member or corporate officer’s own accounts and property to the debt. In addition, the Uniform Commercial Code statement filed by the funding company can block future loans and make it harder to get credit.

The contracts often say your funding agreement is governed by New York law or that you will be sued there or even the arbitration will be in New York. There’s no harm in asking Seattle business lawyers whether they can help with MCA. But if there is an out-of-state procedure or case, they must be able to appear in the court or work with counsel where the venue is.

Some contracts can have a clause letting one party get a judgment without the other being notified or asked to participate. A New York statute since 2019 said no confession of judgment against a non-resident can be filed there. Washington law allows a confession of judgment. A person can agree ahead of time that a lender can get a judgment by court affidavit instead of by a lawsuit. But the law also says the confession must be signed under oath, and is only for a specific amount. It must give the basic facts of the debt.

The contract often has an arbitration clause, which means the parties must use a professional arbitrator instead of a judge or jury. But in some cases, there may be facts that let you stay out of arbitration. The funder can quickly ask the court to confirm an award. A restraining notice on your bank can then freeze your account.

Funders prefer to call these deals a purchase of future receivables, not a loan. They believe this gets around the usury laws. Some courts have called it a purchase but the issue can be raised. In Washington, business purpose deals do not fall under the usury law.

The reconciliation clause says that the merchant and funder will go back over the sales records and decide whether to adjust the amount being taken out of the merchant’s account. The funding company may ignore the clause and take the same amount, no matter what the receivables show. Even if you owe something you may not owe the full amount claimed or it may be the fault of the funder. A defense can arise out of a surprise deficiency in the papers or the service to you.

It may be in your interest to settle the lawsuit. It also may be in your interest to seek bankruptcy relief. If there is a personal guaranty on the contract, you may not be able to get rid of the debt with a business filing. The lawyer may be able to negotiate a better outcome for you.

Washington’s Consumer Protection Act may come into play on MCA or similar funding deals. It lets courts order up to triple the damages for deceptive practices, with a limit of $25,000 extra. The act also lets you recover reasonable costs of the lawsuit and attorney fees if you win.

The Right Lawyer for an MCA Case

You should ask each lawyer if they have handled similar cases in the past 12 months. Do you handle both court cases and arbitration? Which states do you practice in? Will you be able to go to court where I need you? Do you work with other lawyers locally? Having the contract reviewed quickly is vital. Especially in emergencies such as a restraining notice from the funder or a bank, you need to find out what the attorney is able to do with such short deadlines. A retainer agreement should state in writing what the lawyer will do for you. Ask about fees for document review. A realistic timeline tells you what to expect at the next step.

The Washington State Bar cannot refer you to a private lawyer, but it gives you a place to look: King County Bar’s referral service. The King County Bar Association has over 275 lawyers in 36 areas who take new cases through its referral service. There is no discount. Call (206) 267-7010 or email LRS@KCBA.org.

Before your first meeting with a lawyer, you should have gathered all of your agreements, including ACH authorization, the funding contract, and bank statements. Save letters and emails from the funder or broker, and make sure you check whether there is a confession of judgment or arbitration clause. Sign nothing new without taking it to the lawyer first.

Do Nothing on Your Own

Unless you are taking advice from an experienced MCA lawyer, the most important thing to remember is, do nothing on your own. The moment you cut the flow of payments, you may trigger an event of default. Wait until your lawyer finds you a safe way to get by. Never tell your bank that debits you allowed were not authorized. Avoid the temptation of transferring your business assets to a new company. It can bring fraudulent transfer claims and personal liability.

Waiting never makes the problem go away. Lawsuits can happen years later. A Washington suit on a written contract can be filed up to 6 years later. The first attorney to understand and help is the one you find before your response deadline runs out.
