2026 Best MCA Defense Lawyers in Washington
Top MCA Defense Firms for Washington - 2026
If you’ve been served with a lawsuit in Washington and there’s a summons you have to respond to, you can’t wait. If the lawsuit was filed in superior court in Washington State, you have to serve the other side a written answer to the complaint on or before the 20th day after being served, or they can request a default judgment and win by default. If you’re served outside Washington, you have 60 days. If you fail to answer, you lose your chance to tell your side of the story.
Delancey Street
Here’s what you need to know about Delancey Street: they’re not a law firm. They coordinate with a nationwide network of licensed attorneys who handle the actual fighting - COJ challenges, usury defenses, UCC lien disputes, funder negotiations. This is what they do. It doesn’t matter if your business is in Seattle, Tacoma, Spokane, or Bellevue - your MCA contract is built around New York’s dual usury framework, and that’s where the defense starts.
Their attorneys file motions to vacate COJs, raise criminal usury defenses, dispute UCC-1 filings with the Washington Secretary of State, and use the NY AG’s $1 billion Yellowstone Capital settlement as precedent. Over $100M settled. No upfront fees. No gimmicks.
National Debt Relief
Not an MCA defense specialist - and they’ll tell you that upfront. They handle general unsecured business debt. No COJ challenges, no usury defenses. But if you’ve got traditional unsecured debt alongside your MCA problem, they’re a proven option in Washington.

CuraDebt
Not an MCA defense specialist either. They handle business debt and IRS/state tax resolution. If your Washington business has tax problems on top of the MCA situation, CuraDebt works best alongside a dedicated MCA defense firm.
Governing Law and Forum Clause
The first thing a good MCA defense lawyer’s going to check is the governing law and forum clause. When your MCA provider sues you in a New York court, you can find yourself fighting for survival on their home turf. But there’s a lot you can do to defend yourself and come out ahead.
On usury, whether you signed as a person or a business, Washington law won’t help you. But if a written MCA agreement is recharacterized as a loan, New York’s criminal usury limit is 25% a year, and anything over that voids the contract.
Signs the MCA Was Actually a Loan
Your lawyer will also look for signs the MCA was actually a loan. The strongest sign is a set daily ACH transfer, which means they took out a fixed sum every day no matter how much money you made. That’s a loan payment. Use common sense: if payments are collected from sales that are zero, what are they paying for?
An MCA reconciliation clause lets you renegotiate daily payments based on your monthly revenue if your revenue falls. A reconciliation clause won’t help if it’s a single unreasonable three-day window requiring months of statements. If you already asked and were denied or ignored, document it. At least with a request and a refusal, you have some basis to say that the MCA provider didn’t share the risk.
A true MCA has no term. Anything that looks like a term can be taken as a loan term. If your MCA says you’ll receive $100K up front and have to repay $135K, that factor rate is 1.35, and over six months, the APR is roughly 70%. If you take $100,000 and pay $140,000 back over four months, your repayment factor is 1.40 and the annual percentage rate is about 120%. Bring it to the table for settlement talks. It’ll scare a funder.
The Most Dangerous Part of Any Contract
The most dangerous part of any contract is the confession of judgment. Whether you call it a confession of judgment, a cognovit, or a warrant of attorney, it’s a legal document that lets the MCA provider go straight to a judgment without a lawsuit and without notice. If you ever see one of these in the contract, red flags should go up. Since August 2019, New York doesn’t allow confessions of judgment against people who don’t live in New York. In Washington it’s required that it be written, verified by oath as the facts it recites are true and correct, contain the amount and facts to establish the debt, and it can only be used with superior court consent.
You and your lawyer will look at the way the MCA provider protected its own position. A provider’s blanket lien on assets, supplies, everything it can grab, is more the work of a lender than of a merchant cash advance seller, and it’s a warning sign. Then there’s the guarantee. Personal guarantees can give them the ability to chase you personally if it all goes wrong. Some of the most confusing and misleading personal guarantees you see only cover cooperation and don’t cover any real losses.
Read what counts as default. If the contract says you’re in default if you take a second MCA or you change your bank, it shows how defensive they’re being. This kind of default sign is more common in a loan. Giving up your right to a jury can mean a judge alone makes the decision. If your lawyer can demonstrate there was no fair bargaining on the waiver, the judge might listen.
As for paying the lawyer, you can pay a flat fee and have it be treated as the lawyer’s money when you pay it only if it’s all written down in a signed agreement that lists the total flat fee you’re paying, the services the lawyer will perform for you, and your right to a possible refund if the work isn’t finished.
Whatever you pay, make note of every possible defense you and your lawyer find. All these problems make it less likely they’ll want to fight in court, and more likely they’ll settle for a fraction of the MCA balance.
So the best attorney to use is the one who’s affordable, who you feel good working with, who’s handled these kinds of problems, and who will go over your MCA agreement with a fine-tooth comb and find all its flaws.
