2026 Best MCA Defense Lawyers in Tampa, FL

Bottom line: If you own a business in Tampa Florida and are looking for the best MCA defense lawyer, beware of rankings and look for an attorney that can act fast in both New York and Florida court systems to keep your company open. There are lots of Tampa business lawyers, but the ones you want on your side are the ones who have already worked on merchant cash advance cases in New York and Florida and can file as soon as the initial demand arrives.

Top MCA Defense Firms for Tampa Businesses - 2026

Regardless of where you live in Florida, merchant cash advance contracts almost all pick New York law and courts for disputes. The funder sues in New York, gets a judgment there, and then domesticates that judgement in Florida as the first step in taking your money and assets. New York’s 2019 law says they cannot get a judgement against an out of state business without a lawsuit first, so defense is more about preventing a default in New York. This is why it is so important to find a Tampa defense lawyer who can act quickly in New York.

Defaults are a common source of anxiety because collection lawsuits work much faster than you might expect. Collection calls start within a few days and a lawyer’s demand letter arrives within a month. A judgment on a default is possible within about 60 to 90 days of the filing. Undoing a default is possible but expensive. Courts often require you to produce a reasonable excuse for missing the filing date, and an explanation of why you have a possible defense.

Loan vs Sale

Merchant Cash Advances are worded very differently from loans, but the underlying financial transactions can look very similar to a loan. Courts focus on reconciliation (which can be compromised by something like the fixed daily debit), the term and the outcome if the business declares bankruptcy. If a court rules the advance is a loan, the courts have to consider the interest rate. Knowingly charging more than 45% a year is a felony in Florida.

While the loan vs sale debate will be the important question in most cases, sometimes a court will look at specific facts about how the funder and the business behaved. Non-substantive problems with the lawsuit, like getting the documents served wrong, can end the process. Analyzing these agreements is a specialty.

Florida’s Commercial Financing Disclosure Law took effect on January 1, 2024. It governs the disclosures commercial funders have to make. It has many limits, including that it does not cover deals for more than $500,000 or deals that started before 2024. Other limits include that it gives the Attorney General an exclusive right to enforcement, and that breaking the disclosure law does not void the contract. It has no personal right of action.

Your Bank Freezes Your Account

A freeze or hold on your bank account is often a result of a returned debit, a default judgment, or a freeze from the credit card processor. Each has a different fix. A good lawyer’s first steps are to check the account and find which of these caused the freeze. If your bank freezes your account, this generally ends the flow of ACH debits. So does your business closing the account, even temporarily. The moment the funder learns of either action, the clock is ticking on them filing a lawsuit, because they’re no longer being paid. This is why having a good lawyer on your side is so important.

For many owners, the personal guaranty is the real source of the stress. While court judgments against a business are bad enough, it’s often when the owner’s personal assets are threatened that things become serious. Almost every MCA has a personal guaranty, which means you are personally liable. Florida protects the wages of a head of household, but bank accounts, non-homestead property, vehicles and investments can all be targeted. Because of the risk a guarantee raises, reviewing it should be the first step in any fight.

Many business owners take a second or even a third merchant cash advance in a desperate effort to cover the payments on the first MCA. Most contracts forbid it. These can force lots of different daily debits, all at once. In these cases, a good merchant cash advance lawyer often has to coordinate talks with several funders, and not with one funder at a time.

Most merchant cash advance cases result in an agreement of some kind rather than a decision after a trial. A lump-sum payoff can often be 40-70% of the money still owed. Sometimes, a payment plan can be arranged. It’s common for a represented owner with real defenses to get different deal terms than an unrepresented owner. A majority of merchant cash advance funders will put a UCC-1 on the business. Once a deal is reached, your lawyer’s final step is to get a UCC-3 (release of the lien) filed.

Provable Experience Defending MCA Collection

Look for attorneys who have provable experience defending MCA collection. Once you have a list of names, the best thing to do is speak with each lawyer and ask about their recent experience. Asking about their defense experience will also get you a good sense of how much your lawyer knows about merchant cash advance cases and how the case will unfold. Your lawyer should clearly spell out what your defenses are, how they will handle the case, what the likely outcome will be, and what the likely cost will be.

The Florida Bar lawyer referral service sets up 30-minute initial consultations for $25 or less. A lawyer sets their fee for each case, and you can negotiate the amount. Contingency fee agreements in Florida are required to be in writing.

Try to collect every document relevant to the case. This includes every statement of account, your bank statements for the last 90 days, every MCA agreement, every guaranty agreement, and every ACH authorization you signed. Also find any claims, lawsuits or UCC filings against you in Florida or in New York. Save any emails or messages the funder has sent you. Also, sign nothing the funder sends to you. Don’t make payment arrangements with the funder without telling your attorney. It’s best to hire a lawyer before the answer deadline so that your lawyer can act fast to prevent a default.

The smartest thing to do is find a local lawyer experienced in business and commercial law who can move fast in both New York and Florida court systems, and who will tell you what the likely results of the case will be. The faster you act, the more likely it is your business can be protected.
