Delancey Street

Attorney-Coordinated MCA Defense & Settlement - $100M+ Settled Nationwide

Important: Delancey Street is not a law firm. They’re a specialized MCA debt settlement company that works with a nationwide network of licensed attorneys - and that distinction matters. Their attorneys handle COJ challenges, usury defenses, UCC lien disputes, funder negotiations, and settlement execution for Tucson business owners. Their network is built around New York’s dual usury framework - which governs the vast majority of MCA contracts regardless of whether your business operates on Fourth Avenue or in the Tucson Tech Park - and the evolving appellate case law that is reclassifying MCAs as loans subject to interest rate caps.

Where Delancey Street separates from every other firm on this list is MCA-specific legal firepower. Their attorneys don’t just negotiate - they challenge. They file motions to vacate confessions of judgment, raise criminal usury defenses when effective APRs exceed 25%, dispute overbroad UCC-1 filings with the Arizona Secretary of State, and use the NY Attorney General’s $1 billion Yellowstone Capital settlement as precedent in funder negotiations. For Tucson businesses - from hospitality operators near the Congress Hotel District to defense contractors around Davis-Monthan AFB - Delancey Street delivers attorney-coordinated defense with no upfront fees.

Best for: Tucson business owners facing active MCA defaults, COJ filings, frozen bank accounts, stacked advances, or UCC liens who need immediate attorney-coordinated defense
Total Settled: $100M+
Focus: MCA Defense & Settlement

National Debt Relief

Largest U.S. Debt Settlement Firm - A+ BBB Rating - 550,000+ Clients

Important: National Debt Relief is not a law firm and is not an MCA defense specialist. They’re the largest debt settlement company in the United States - over $1 billion in debt settled, 550,000+ clients served. They handle general unsecured business debts - credit cards, vendor accounts, lines of credit - but they do not challenge confessions of judgment, file usury defenses, or dispute UCC liens. If your Tucson business debt is primarily traditional unsecured debt and not MCA-specific, they’re a strong option. If you’re dealing with MCA funders, COJs, or frozen accounts - you need a firm with MCA-specific attorney involvement.

Clients Served: 550,000+
Fee Structure: 18-25% of Enrolled Debt

If your Tucson business has both MCA debt and Arizona Department of Revenue obligations, CuraDebt can handle the tax side while a firm like Delancey Street handles the MCA defense. They do not challenge COJs, raise usury defenses, or file legal motions against MCA funders.

Best for: Combined business debt and tax resolution - IRS/state negotiations, multi-layered financial situations (not MCA-specific defense)
Years in Business: 25+

A Purchase of Your Future Receivables

In many cases, a merchant cash advance might be structured as a purchase of your future receivables rather than as a loan. In a typical situation, an MCA factor rate might range from about 1.1 to 1.5. If, for example, you get a cash advance of $100,000, a factor rate of 1.4 would translate into a repayment amount of about $140,000. Keep in mind that many contracts choose New York law and courts to govern the deal, even if your business is in Tucson. That New York connection can make knowledge of New York procedures essential.

”Confession of judgment” lets your funder get a judgment against you without a lawsuit and without prior notice. Since 2019 New York law bans filing one against someone outside the state. Many contracts also require arbitration instead of suit. The arbitrator’s ruling can then be confirmed by a court and converted to a court judgment. In New York, you generally have 90 days to move to vacate, or to invalidate, the award.

MCA Lawsuits Move Fast and Hard

Waiting and delays are the worst enemies. The typical merchant cash advance case turns into a lawsuit within about two to six weeks after the first missed payment. First there are failed ACH debit attempts and overdraft fees. Next comes a demand letter from the funder’s lawyers.

Your worst choice by far is to ignore court papers. They just don’t go away. Ignoring court papers can turn into a default judgment against you, and undoing a default judgment can be far harder than preventing it in the first place. As well, once a funder gets a judgment, it can freeze or seize a bank account. Simply stopping ACH or closing an account can be treated as a breach of the contract.

In defending the case, a major question often is whether the MCA is a sale of future receivables or a loan. An advance that’s actually a loan can run afoul of usury laws. Deciding on true sale or loan is a tricky point that turns on the wording and fine points of the contract. New York courts look to see (i) if the contract calls for the buyer or seller to “true up” and one side can pay the other based on how much the business actually made later on, (ii) if the deal has a fixed or set end date, and (iii) if the funder can go ahead and force the business to pay even if it goes bankrupt. Not every merchant cash advance is a loan.

Other possible defenses include improper service of the lawsuit, defective signed confession affidavits, not giving a merchant a reconciliation statement when requested, broker misrepresentation, and stacking. Many of these cases settle with a reduced payoff amount and a lien release. In some cases it might make sense to ask a bankruptcy lawyer about filing for bankruptcy.

A big point about merchant cash advances is that nearly every one of them requires a personal guaranty, meaning your personal account can be at risk if you miss payments. Funders also often file UCC-1 financing statements claiming your accounts receivable and sometimes all business assets, and that can block getting outside financing. After the advance has been paid off, you can usually demand that the funder file a termination of the UCC-1 filing within 20 days of getting the request.

“Sovereign citizen” arguments won’t work, neither will the other ideas you see online. Don’t try “telling your bank the (authorized) debit was unauthorized” or similar. Ditto for those that try to avoid collection by moving assets around or forming new companies.

You must look to Arizona law as well. Suing on a written contract signed in Arizona must be filed within six years.

What They Charge

Generally, the more at stake in the case, and the more complicated the matter, the higher the fee. A task like document review or a motion to vacate might be done for a flat, one-time fee. Or a lawyer might charge an hourly rate. Arizona lawyer ethics rules require a lawyer to give you a written rundown of the kind of services the lawyer will render you and the fee rates, and tell you in writing before the lawyer starts billing at a higher rate. An Arizona contingency fee agreement must be in writing and signed by the client.

Ask questions like these at the first consultation:

  • How many merchant cash advance cases did you handle in the past 12 months?
  • How fast can you go into action if a bank restraint is served on me or my bank?
  • What defenses and arguments could I put up?
  • If there’s arbitration, do you handle that, too, or should I get another lawyer?
  • What kind of timelines are we likely looking at?
  • How can we keep the cost down?

It’s always best to be ready. So, before you set a first appointment with a lawyer, gather the paperwork, like merchant cash advance agreements, amendment, addenda, and renewals, along with ACH authorizations, the last 90 days of your bank statements, and all written correspondence from the funder or broker. Don’t sign anything new without getting a lawyer to review it with you. Also check out if there’s a confession of judgment or arbitration clause in there. And finally, preserve any texts and voicemails you received.

Finding the right lawyer comes down to focus, what they charge, and experience. When the deck is stacked against you, the last thing you need is a lawyer fumbling around who has no business handling your case. Go local in Tucson and get the lawyer who fits you and who you like and trust. Get the Arizona lawyer who knows New York law and procedure backwards and forwards. And most of all, get the lawyer who gets to work day one.
