Bottom line: If you are being sued by an MCA, it is important to find the right attorney for your defense. The right firm for you should handle lawsuits over merchant cash advance deals regularly, not just when one wanders into the office. Look for someone who can respond quickly enough to fight a bank levy and file objections to the confession of judgment or UCC lien, and check for any deadlines for responding. Finally, check the jurisdiction: the best firm may not be in Sacramento. Many of these creditors sue in New York, and not every firm can make an appearance in every state.
Top MCA Defense Firms for Sacramento Businesses - 2026
An ordinary lawyer without specific experience in defending MCA deals may not understand this kind of contract. It’s not the kind of deal that comes up in run-of-the-mill commercial litigation. An unfamiliar attorney is unlikely to know the areas where defenses might be strong, or that certain deal structures may be invalid.
Important: Delancey Street is not a law firm. They’re a specialized MCA debt settlement company that works with a nationwide network of licensed attorneys - and that distinction matters. Their attorneys handle COJ challenges, usury defenses, UCC lien disputes, funder negotiations, and settlement execution for Sacramento business owners. Their network is built around New York’s dual usury framework - which governs the vast majority of MCA contracts regardless of whether your business operates on K Street, in Midtown, or in the Natomas business corridor - and the evolving appellate case law that is reclassifying MCAs as loans subject to interest rate caps.
Where Delancey Street separates from every other firm on this list is MCA-specific legal firepower. Their attorneys file motions to vacate confessions of judgment, raise criminal usury defenses when effective APRs exceed 25%, dispute overbroad UCC-1 filings with the California Secretary of State, and use both California’s SB 1235 disclosure violations and the NY Attorney General’s $1 billion Yellowstone Capital settlement as precedent. For Sacramento businesses - from restaurants in the Farm-to-Fork Capital to medical practices near UC Davis Medical Center - Delancey Street delivers attorney-coordinated defense with no upfront fees.
Best for: Sacramento business owners facing active MCA defaults, COJ filings, frozen bank accounts, stacked advances, or UCC liens who need immediate attorney-coordinated defense

They’re the largest debt settlement company in the United States - over $1 billion in debt settled, 550,000+ clients served. They handle general unsecured business debts - credit cards, vendor accounts, lines of credit - but they do not challenge confessions of judgment, file usury defenses, or dispute UCC liens. The Purchase of Future Receivables
This agreement is sold as the purchase of future receivables, not a loan. The funder pays you a lump sum right away, and in return you owe a larger amount of future revenue. It’s debited every day or week. This is priced by a factor rate instead of interest, typically 1.1 to 1.5. Say you need $100,000. If the rate is 1.4, you’re paying back $140,000. Merchant cash advance funders will tell you usury laws don’t apply because this isn’t a loan.
MCA Disputes
Failure to make a required daily or weekly payment triggers rapid escalation on a merchant cash advance. The funder will try ACH reattempts within the first few days of a miss. You’ll be getting calls and collection letters. Then the creditor’s lawyer will probably send a demand letter, and soon afterward may file a lawsuit in New York or your own state. It could get ugly. If you receive a Summons and Complaint, California law generally gives you thirty days from service to file an Answer. Missing deadlines can result in a default judgment. These are expensive and messy to undo, a very costly mistake. Ignoring the matter entirely often proves to be the worst possible move.
California law bars entry of a confession of judgment obtained after January 1, 2023. New York also prohibits filing against a non-resident. There has also been legislation. SB 666 bans certain fees, like ACH processing fees and payoff-statement fees, for small businesses with 100 or fewer employees. It’s effective January 1, 2024. Many states also impose disclosure rules. If an MCA had the wrong disclosures, that doesn’t usually mean it disappears. The lender can still sue for nonpayment. You still need an attorney.
A skilled attorney for merchant cash advance defense will determine if a confession of judgment was filed correctly. The MCA lawyer checks the affidavit of amounts due to determine whether it conflicts with the amount filed. Procedural defects and miscalculation of past payments are often the fastest route to relief. After this review, MCA attorneys can protect your accounts from ACH debits without exposing you to new liability. Timing is critical; the law generally requires UCC-1 lien termination within 20 days of demand once paid.
Merchant cash advance lawyers also review the personal guaranty in the agreement, since its wording exposes your personal accounts and property to the creditor. A skilled MCA defense lawyer may challenge the scope or broker misrepresentations. Challenging an arbitration award requires great care, and New York generally gives only 90 days from delivery.
Many merchant cash advances may pass muster, but some may still run into trouble. It can matter whether the repayment is strictly proportionate to daily receipts (that might be a sale of future receivables) or just on a flat schedule (that might be a loan). New York courts recognize various factors, like an agreement of reconciliation, a finite term, and whether there is recourse if the business fails to pay back the full amount. If it is a loan, usury laws may apply.
Using form letters or straying off into sovereign-citizen theories or other wacky nonsense is no help to you at all. Moving assets may not help and could backfire into a fraudulent transfer claim.
Many MCA disputes are settled through negotiations for reduced payoffs, restructured terms, and lien releases. In some cases, bankruptcy may provide an automatic stay halting collection activities, but it is important to note that a business filing does not automatically resolve the personal guaranty. The decision to file for bankruptcy is significant and should be considered carefully.
Consult MCA Defense Lawyers
When you consult MCA defense lawyers in Sacramento, find out how many merchant cash advances they represented last 12 months, how many confessions of judgment in New York, and whether they handle litigation and arbitration, if local counsel in the other jurisdiction is necessary, how quickly they will respond if a bank levy is served, how many settlements they can report, and whether they can coordinate bankruptcy defense if you need it. Don’t forget to check the Lawyer Referral Service of the Sacramento County Bar Association.
Legal fees for MCA defense vary from attorney to attorney. Some charge a flat fee for document review or for the work to get a confession of judgment set aside. Others bill by the hour. In California, generally a written fee agreement is required if the total costs are likely over $1,000 (but not when the client is a corporation). If your lawyer ever sues you over a billing dispute, you’ll have 30 days to request fee arbitration.
Before your first meeting, pull together the merchant cash advance agreements and ACH authorizations. Bring bank statements for the last 90 days, and all letters from funders and brokers. Save your emails, texts and voicemails. See if there was a confession of judgment or arbitration clause. Do not sign new advances or settlements without counsel.
