2026 Best Business Debt Settlement Lawyers in Portland
Reviewed by NYCCriminalAttorneys.com Blogging Team · Last updated
Bottom line: There is no such thing as a “best business debt settlement lawyer”. (Well, there may be one lawyer who is “best” for your own particular problem.) But there is a way to size up a debt settlement lawyer. Some lawyer in Portland could probably help, but check for someone with a history of settling commercial debt and more specifically merchant cash advance debt. You want to see a clean record with the Oregon State Bar. If you are behind on your remittances, have been sued, or your customers get a letter instructing them to pay someone else, consider calling a lawyer.
Best Business Debt Settlement Lawyers in Portland for 2026
There are two points at which people will seek the help of a lawyer. The first is when they are sued by a funding company to whom they owe money. They want a lawyer to represent them in that lawsuit. But there is a time before that when a lawyer should be contacted. That is when the funding company is still calling a person threatening them with a lawsuit. Because then the debt settlement lawyer can perhaps prevent that lawsuit from ever happening by negotiating a settlement on behalf of his client.

Funding Company
What is a “funding company”? It is a company that advances money to a business, expecting the business to pay it back, plus fees. It is not a loan, which is what people call it colloquially. The catch is that the fees are far higher than a regular loan. Sometimes the payments are daily or weekly and drain the business’ cash flow, preventing them from operating efficiently. Owners frequently have to sign a personal guarantee, so they are at risk if the business fails.
The “day of reckoning” can come if the money has not been paid back. The funder will file a UCC lien with the Secretary of State and make a public record that the assets of the business can be taken. If you are not paying, the company can try to freeze the accounts of people who owe you money, including PayPal or Square, or it can collect directly from your customers. That is why many people decide to see a lawyer once any of this starts.
The first place the lawyer will start is by looking over the paperwork and seeing if the funder is asking for too much money. He analyzes the UCC filing to find inconsistencies and vulnerabilities. If there are problems, a business debt settlement lawyer can negotiate the contract and remittances. For instance, if sales have dropped, a reduction in remittances can be negotiated. They can also settle for a lower amount. And when a confession of judgment clause has been used, the lawyer can dispute it and perhaps eliminate it. (A confession of judgment clause bypasses a trial and renders a judgement for the lender.) If a lawsuit is filed, the lawyer can defend and try to dismiss the action or try to attack the balance claimed over an unenforceable term. And get improper liens terminated. Lastly, he will make sure that the paperwork you sign for your final agreement is drawn up properly.
Because there are few rules in the Merchant Cash Advance industry, it can be easy for a dishonest funder to take advantage of a business owner who is just trying to keep his business going. Some states like New York and California are now requiring more disclosure from funders. The Federal Trade Commission also has the power to pursue unfair or deceptive funders.
A Lawyer or to a Business Debt Settlement Company
One decision you have to make is whether to go to a lawyer or to a business debt settlement company. Oregon law says that debt settlement by companies is called debt management. And under the Oregon law, only individual debts are protected. If the debtor is a business, it does not have the same protection. But Oregon lawyers are exempt from registration as long as their debt management work is incidental to their law practice.
The Federal Trade Commission has issued a rule regarding phone sales of debt settlement services: all for-profit debt relief sellers are prohibited from collecting fees until they have renegotiated a debt to reduce it, that the client agrees and has made at least one payment on the new arrangement. But attorneys do not get a general exemption under the rule. In the end, the best answer may be a lawyer with a particular experience in these cases. You want someone who has already “been there and done that” with the same type of debts.
You can start with the Oregon State Bar, which has a referral system that leads you to local attorneys in any area of the state. You can get a first consultation up to 30 minutes for no more than $50. You have to contact the lawyer within two business days of getting the name. After that, the lawyer sets their own fees. Whether to use that lawyer is up to you.
Then look at each lawyer’s website. Do they specialize in business debt, and do they say they have experience with merchant cash advance cases? Once you have narrowed down the list, you can check with the bar to see if any of them have complaints against them or any disciplinary action. Complaints can be found at the Bar’s Discipline Records Hotline (503) 620-0222 ext. 394. You may want to meet several people before you choose. An interview should be to ask about experience with merchant cash advances and whether they have dealt with the exact type of problem you are facing. Always get a written fee agreement from your lawyer to describe the job and the fees.
Plan What Happens After the Settlement
Debt settlement or cancellation results in cancellation of debt income. It is generally taxable income the year it occurs. But the IRS allows some exclusion, like bankruptcy, or insolvency. You have to report any exclusions on Form 982. If you have to report cancelled debt, talk to your lawyer about the possible exclusions.
Keep in mind that Oregon creditors generally have six years to sue on most contract debts. But if you get sued, you must act. And if settlement fails, there is Subchapter V bankruptcy, which applies to small business with debts up to $3,424,000.
If you are facing collections because of merchant cash advance debt, get expert advice immediately. Don’t let it drag out. Contact a lawyer the minute you see trouble on the horizon. The earlier you talk to a debt settlement lawyer, the better chance you have of avoiding a lawsuit altogether.
