2026 Best MCA Defense Lawyers in Rhode Island

Bottom line: If you own a business in Rhode Island, and you’re being sued over an MCA contract, ranked lists of the “best lawyers” won’t help you much. Your best choice isn’t the one with the fanciest office or the most impressive suit. It’s the lawyer with real experience defending MCA cases in New York courts, a quick response time, and the ability to work in multiple states. If you’ve been served or had your accounts frozen, get an MCA lawyer in Rhode Island on your side fast.

Top MCA Defense Firms for Rhode Island Businesses - 2026

Although you’re based in Rhode Island, you might still find yourself getting served in New York. Most MCA contracts have clauses forcing plaintiffs to file suit in New York -- and under New York laws -- even if you live far away.

Here’s one piece of news that’s good for out-of-state owners: New York state law prevents confessions of judgment on MCA contracts from being filed there against owners based outside New York, even Rhode Island owners. Note that this rule was enacted as of August 2019. Although the Confession of Judgment ban is good news, COJs are still enforceable against New York-based businesses, and similar clauses to this day appear in some states as cognovit clauses.

Rhode Island Law

In Rhode Island law, there is no specific law governing MCA contracts, according to one 50-state survey. Keep in mind that, in Rhode Island, lenders cannot charge over 21% APR, and if the Wall Street Journal prime rate plus 9% is higher, that cap applies. An MCA provides funding in exchange for your future receivables. But courts sometimes treat MCA agreements as loans anyway. If there is no real reconciliation, a fixed term, or repayment owed even in bankruptcy, that can help show a judge that an agreement is a loan, not a receivables agreement. This matters because a contract in excess of this limit is void in Rhode Island, as is the security, and the borrower can recover the payments.

Look out for hidden signs of trouble: fixed payments that don’t adjust with your sales; reconciliation requests that lenders ignore. If you see these signs, talk to a lawyer -- one whose practice focuses on MCA contracts.

Defend a Lawsuit

If you miss answering a lawsuit, usually the plaintiff can win by default and take what they asked for. Respond quickly to make sure this doesn’t happen to you -- some courts allow 20 days and some allow 30. If you’ve already been served, call a lawyer today.

Payroll checks can bounce, and other transfers fail, because accounts are frozen by restraining notices (holds) or levy notices. A judgment creditor can freeze accounts without notice. The sooner you get a lawyer to review the judgment, the more options you have -- move to vacate if a creditor failed to comply with law or court rules, or seek the release of funds wrongfully frozen. The defenses vary from case to case, and can include improper service, defective affidavits, lack of jurisdiction over an out-of-state business, and more.

Daily ACH Debits draining your bank? You shouldn’t just stop payment. It might count as a default. The funder may sue or file a UCC lien, and without an MCA lawyer, the situation can quickly go from bad to worse.

A lien filing can keep your company from getting new financing until it’s removed. An MCA lawyer will check to see if a filing covers too many assets, or was filed without proper authorization. A lien release is often part of the settlement of a lawsuit.

Only a licensed lawyer can represent you in court and defend a lawsuit. Settlement companies are not allowed to represent you in court. If you’re facing a lawsuit, you may be able to reach a negotiated settlement. Credible legal challenges can often result in leverage to negotiate down a lower amount you can pay. Never agree to pay what you can’t afford.

A lot of the time, personal guarantees put your home and savings on the hook. Dissolving the LLC doesn’t erase the debt. Without advice from an MCA lawyer, dissolving the LLC can make things worse.

One daily ACH debit can be hard enough to cover, but if there’s more than one, then the situation starts to resemble daily death by a thousand small cuts. In these situations, it’s usually a bad idea to try to make separate side arrangements with each funder.

If you can no longer afford your debt, you might need bankruptcy protection from lawsuits and threats. A bankruptcy filing triggers an automatic stay stopping collections. Bankruptcy isn’t the answer for everyone. It’s a serious step to take. Talk with a bankruptcy lawyer.

Rhode Island doesn’t certify lawyers as “specialists”, so “MCA focus” isn’t a credential. What can really help is to ask for a written cost estimate and weigh it against what other lawyers are quoting you, along with the need for speed and litigation readiness. Get a lawyer who can draft a suitable response and defend your interests if sued, not just aim to settle.

Whether you’re a dentist, or you run a trucking company in Providence, defense in MCA cases is a specialized area of law. General business attorneys may handle very few MCA cases a year. Your lawyer should also have the ability to handle court filings in other states. MCA cases often cross borders, with multiple states involved.

The Rhode Island Bar Association maintains a lawyer referral service. If you need legal help on a civil legal problem, call their Lawyer Referral Service at 401-421-7799. A free consultation up to 30 minutes is offered.

On a first call with an attorney, you should gather all materials you have, including each MCA agreement and personal guarantee, bank statements with withdrawals (and any levy notices), lawsuit papers, and copies of any messages you’ve received.

Sometimes people delay calling an MCA lawyer because they don’t want to pay for advice if they can get rid of the lawsuit on their own. But ignoring a lawsuit could be the biggest mistake. Even a really good defense might go to waste once a default judgment is entered. Every day counts.
