If you are a small business owner in Oregon drowning in MCAs, the best possible help is a licensed Oregon lawyer who actually handles lawsuits for business owners. A debt settlement company can make promises and take your money. A lawyer can tell you how much leverage you actually have and what you have to do to make it work. Find a lawyer through the Oregon State Bar, check the license and make sure the lawyer has experience settling and defending merchant cash advance lawsuits.

The Actual Risks of Debt Settlement
A debt settlement company will not help you with a creditor that has already sued you. Debt settlement companies do not go to court. They do not, cannot, and are not allowed to provide you with legal advice. If your company gets sued, you will need a lawyer.
They also don’t tell you the actual risks of debt settlement. “Big savings, low monthly payments, we will drop all of your payments into an escrow account where it will be safeguarded. We will then settle your debts for less. One low payment.” That’s the typical pitch. The problem is that the savings they promise are often unrealistic and the fees substantial. The fees may be baked into the monthly payment. Once the contract is signed, the consequences become even more drastic: your accounts are frozen and your receivables tied up. When you check in a few months later, nothing has been done and there is no refund.
And the merchant cash advance lenders don’t sit still. Meanwhile, the MCA funder adds its own contract fees, typically including fees of $35 for each insufficient funds event, from $500 to $5,000 for a stop payment, $100 to $2,500 for changing bank accounts or merchant accounts, $2,500 to $5,000 for default, and $2,500 to $5,000 for third-party interference. Finally, if the business does not have enough cash to cover these fees on top of the payment, the business is likely to end up in worse shape than when it started.
In Oregon, non-lawyer debt settlement companies must register as debt management service providers through the Department of Consumer and Business Services. The maximum fee is 7.5% of the amount saved. Oregon does exempt lawyers from the registration requirement when debt settlement is incidental to practicing law.
Business Debt Lawyer
This is where a good business debt lawyer can really help. A business debt attorney can fight the lawsuit and buy time. By defending the case, the business has more time to raise money and continue operating while the case goes on. A good business debt attorney may be able to reduce the balance you owe down to a lower payoff amount. He or she will check the contract you signed. Some contracts are actually loans disguised as MCAs.
A true merchant cash advance purchases future receivables. The advance is repaid only as money comes into the merchant’s account. Nothing in, nothing out. A loan is due at specific times. Courts may decide the high prices involved -- sometimes 100 to 200 percent or more -- are usurious under state law if the merchant cash advance was a loan. Many MCA contracts are not drafted properly.
Merchant cash advance brokers are paid on commissions and don’t lend the money themselves. They are likely to stack several funders on top of each other. Brokers have been known to lie about the true nature of the product. A common MCA brokers’ lie: “this merchant cash advance is only temporary, it’s just to tide you over. We’ll get you a traditional loan once you get over the rough patch.” The loan never comes. A lawyer can file third-party complaints against the broker.
Timing is important because you almost certainly signed away lien rights when you took the merchant cash advance. Then, when it sues, the funder asks for a judgment, which lets it freeze the business bank account. The more effective move is a UCC lien recorded on your company’s receivables. For that reason, funders usually prefer to file the UCC lien so that the funder can freeze your receivables before they ever reach your bank account.
If you had given the MCA funder a customer list, trade references, bank statements, or account access, expect them to send the UCC lien within a day or two. It can, for example, send a copy of the UCC lien to your merchant accounts and tell your card processors and your customers to pay the funder instead of you. This can be embarrassing. Some of your customers may decide to take their business elsewhere.
Funders may also use a confession of judgment, a document that says the borrower knows that he or she owes money, and authorizes the lender to take a judgment against the borrower without going to court. New York banned these against out-of-state businesses in 2019. Now funders look for friendly states to file these affidavits like Illinois, Utah and Texas. Most still file regular lawsuits. The other approach funders take in Oregon is to register an out-of-state judgment.
To find a lawyer, the Oregon State Bar Lawyer Referral Service makes it easy to get legal advice. The Oregon State Bar will match you with a nearby private lawyer. You pay a maximum of $50 for up to 30 minutes. You have to call the lawyer you are given within two business days of getting the name. After that, you can negotiate your own fee.
Before hiring, check the Oregon State Bar’s online Licensee Directory, which shows whether the lawyer is in good standing and has any reported discipline. Then make sure the lawyer actually defends merchant cash advance lawsuits, not just negotiates. Ask what they will do for you. Finally, a note about Oregon lawyers and fees: if an Oregon lawyer takes or misuses client money, the Oregon State Bar’s Client Security Fund may be able to pay you back.
I would expect most MCAs to have the owner sign a personal guarantee. Bankruptcy makes a difference in some ways but not others. A personal bankruptcy gets rid of the guarantee but it does not stop the collection against the business. A business bankruptcy leaves the guarantee intact. For all these reasons, a lawyer will look at both. Chapter 7 or Chapter 13 are the personal bankruptcies. Chapter 7 or Chapter 11 (including Subchapter V) are the business bankruptcies. When you settle, a lawyer can clear the business debt and the guarantee together.
The Tax Effect of Any Debt Settlement
Before you accept a settlement, consider the tax effect. The IRS says that forgiven debt is generally taxable income. Banks, credit unions and other covered lenders must file Form 1099-C for canceled debt of $600 or more. There is an exclusion if discharged in bankruptcy or to the extent you are insolvent. You also reduce certain tax attributes. You have to file Form 982.
It is important to be proactive now because the problem is not going away. A creditor generally has six years to sue on a written contract debt in Oregon. Before you choose bankruptcy, debt settlement or a lawsuit defense, call the Bar’s referral service.
