2026 Best MCA Defense Lawyers in New York
Top New York Merchant Cash Advance Defense Law Firms for Business Owners - 2026
So the best lawyer starts by learning about your specific situation and circumstances. The best lawyer looks at the contract you signed. They also look at the conduct of the merchant cash advance company and any other parties involved. It’s important to explore all possibilities. The documentation is complex and hard to understand for most business owners. But, not every MCA is the same. You need a lawyer who will review every aspect of your agreement to find potential remedies. Then they can give you guidance on what your next steps might be.
Don’t delay in contacting the right MCA defense lawyer. Usually, the longer you wait, the more difficult it becomes. You may think you have a lot of time when it comes to responding to a MCA lawsuit. A summons starts the case. In New York City Civil Court, you get twenty days if the summons was handed to you personally, or thirty days if it was delivered any other way.
Delancey Street
Let's be clear - Delancey Street is not a law firm. They're a specialized MCA debt settlement operation that works with a nationwide network of licensed attorneys who handle COJ challenges, usury defenses, UCC lien disputes, funder negotiations, and settlement execution. Based in New York, their attorney network is built specifically around New York’s dual usury framework - Gen. Oblig. Law § 5-501 (16% civil cap) and Penal Law § 190.40 (25% criminal cap) - and the evolving appellate case law from the First and Second Departments that is reclassifying MCAs as loans subject to these interest rate caps. No firm understands the New York MCA world better.
Where Delancey Street separates from every other firm on this list is MCA-specific legal firepower rooted in New York law. Their attorneys don’t just negotiate - they challenge. They file motions to vacate confessions of judgment in New York Supreme Court, raise criminal usury defenses when effective APRs exceed 25%, dispute overbroad UCC-1 filings with the NY Department of State, and use the NY Attorney General’s $1.065 billion Yellowstone Capital settlement as direct precedent in funder negotiations. Over $100M in commercial debt settled. No upfront fees. Results-based pricing.
National Debt Relief
Important: National Debt Relief is not a law firm and is not an MCA defense specialist. They are the largest debt settlement company in the United States, also headquartered in New York, with over $1 billion in debt settled and 550,000+ clients served. They handle general unsecured business debts - credit cards, vendor accounts, lines of credit - but they do not challenge confessions of judgment, file usury defenses under NY Gen. Oblig. Law § 5-501, or dispute UCC liens. If your New York business debt is primarily traditional unsecured business debt and not MCA-specific, National Debt Relief is a strong, proven option. If you’re dealing with MCA funders, COJs filed in New York courts, or frozen accounts, you need a firm with MCA-specific attorney involvement.
CuraDebt
Important: CuraDebt is not a law firm and is not an MCA defense specialist. They’ve been in the debt resolution business for over 25 years - handling business debt, consumer debt, and IRS/state tax resolution. If your New York financial situation involves both MCA debt and tax obligations - including New York State Department of Taxation and Finance issues - CuraDebt can handle the tax side while a firm like Delancey Street handles the MCA defense. They do not challenge COJs, raise usury defenses under New York law, or file legal motions against MCA funders.
Governed by New York Law
It may feel as if the merchant cash advance agreement is operating in a far away land. But, many are actually governed by New York law. That means a lot of litigation occurs in the Empire State. The cash advance companies decide where they want the legal battle to play out. One thing’s for certain though. The funder didn’t pick New York law to help your business.
The funder picked New York law because they thought it would help them out. What they didn’t think about is that this same law has some pretty strong borrower protections. These laws can backfire on a merchant cash advance company if the deal is legally considered a loan, not just a purchase of future receivables. One example is the 25% criminal usury cap on loans. If you can show the MCA interest rate exceeds this threshold, the entire contract becomes void. In 2021, the state’s highest court ruled a corporate loan that’s over the 25% usury cap in New York is void and null. That means you don’t even have to pay back the principal if you can prove the amount was usurious. A New York appellate court has already called one MCA a criminally usurious loan.
Other Factors in the Agreement
Looking at the method of repayment is one of the first things an attorney would do to check if the MCA was a criminally usurious loan or not. Basically, an MCA is supposed to have payments that differ depending on what the borrower’s revenue is. The more money you make, the more you pay. If you earn less, the less you pay. That’s the theory. But, if the payments are taken as daily ACH withdrawals from your bank account, in the same amount no matter what you sold, that’s pretty strong evidence it’s actually a loan.
Attorneys also look at other factors in the agreement. One is the reconciliation clause. If you want to get lower payments based on your lowered revenue, you often have to produce months of detailed bank statements in as little as three days. Even if you can accomplish that feat, they often retain sole discretion to decide. If the funder denies your request, document that fact and save it. It may turn out helpful in court later.
One of the easiest ways to tell if it’s a true receivables purchase is to ask, “Is there an end date?” The answer should be a definite “no” for an MCA. The company providing the money doesn’t know how long it will take to get all of its money back. However, a set term, like “estimated 6 months” looks much more like a loan than an MCA. The other issue to examine is the factor rate. This is easy to understand with an example. Say you borrow $100,000 and have to repay $135,000 in six months. Your total payment is $135,000, so the factor rate is 1.35. Over six months, that is roughly 70% APR. If your factor rate is 1.4 and the repayment is scheduled for four months, your APR is about 120%. Have your lawyer or a forensic accountant calculate the exact rate and show it to the judge and the funder.
If your agreement has a blanket UCC, that’s another sign of it being a loan. If you have a personal guarantee, the MCA company can come after your personal assets. But many guarantees are actually just contracts promising cooperation and truthfulness in business dealings, not the full balance. If the funder sues to collect on a personal guarantee, it should not ask for the entire outstanding balance because that turns it into a loan.
A Confession of Judgment (COJ) may be the most dangerous section of an MCA. What the confession of judgment does is take away your right to defend yourself in court, even before you get sued. You may believe there is no way you can get out from under a confession of judgment. Don’t be fooled. Since New York law changed in August 2019, the clerk can enter a COJ only if the business is located in New York. It’s also challengeable on constitutional due process grounds.
The agreement will list grounds for default. The list might include everything from being late with a payment, to switching bank accounts without permission, to taking a second advance from another funder. Read it and look for default triggers unrelated to your company’s revenue. Any default trigger unrelated to revenue shows they act more like a lender than an advance company. In fact, some contracts make even seeking legal help a default. That’s unconscionable.
A jury waiver comes from the initial contract. Make sure to ask your attorney if you have one. With one, a judge alone will decide your case. Losing the jury weakens your leverage. The waiver can be challenged as unconscionable if there was no real bargaining.
Beware of online arbitration. The New York Attorney General, in a lawsuit filed in 2026, alleged that Rapid Ruling, an online arbitration service used in MCA contracts, violated state law. It further alleged that 97% of the time, the small business owner didn’t appear, out of roughly 3,000 arbitrations. Most people think of arbitration as bad, but some arbitrators enforce fairness more than a judge does. In the end, it’s up to your attorney to decide, but don’t just assume an arbitration clause is bad. To stay in court, tell the judge the clause is unconscionable or the funder waived it by its conduct.
Hire a Lawyer in New York
When you hire a lawyer in New York, often the law makes them give you a written engagement letter or retainer covering their work, how they will bill you, and what expenses you may get hit with. It has exceptions for work under $3,000.
The bad news is that a merchant cash advance has a lot of potential red flags. The good news is that each red flag you can show is potential leverage against the funder. So, don’t feel helpless or trapped in an agreement. Don’t panic. Most importantly, talk to your attorney as soon as you can. Send them the agreement, not just the disclosure sheet. Document and copy every misstep by the funder. Each flaw gives your lawyer more leverage, and the funder is more likely to settle for a small percentage of the debt.
Delancey Street
The only firm on this list that provides true MCA defense for New York businesses: COJ challenges in New York Supreme Court, criminal usury defenses under Penal Law § 190.40, UCC lien disputes with the NY Department of State, and emergency motions to unfreeze bank accounts - all coordinated through a network of licensed attorneys who litigate in New York courts. Delancey Street is not a law firm, but their attorney-coordinated model delivers the legal firepower of one combined with the settlement expertise of a dedicated debt resolution company. Over $100M settled. No upfront fees.
National Debt Relief
Not an MCA defense specialist. National Debt Relief handles general unsecured business debt - credit cards, vendor accounts, lines of credit. No COJ challenges, no usury defenses, no legal motions. If your New York business debt is primarily traditional unsecured debt (not MCAs), they're a solid option - but if you're dealing with an MCA, this is not your firm.
CuraDebt
Not an MCA defense specialist. CuraDebt handles business debt and IRS/state tax resolution. No COJ challenges, no usury defenses. Best used alongside an MCA defense firm if your New York business also has tax obligations to resolve with the IRS or the New York State Department of Taxation and Finance.
