Debt Settlement Company Is Not a Law Firm
The debt settlement company may look like a law firm from its marketing. It’s not. A genuine law firm, staffed by qualified and licensed attorneys, can speak for you in court if you get sued. The debt settlement company can’t give you legal advice or represent you in court if your merchant cash advance lender sues.
The marketing materials sound great. You get your debt payments reduced by half. The payments get escrowed to one place. Many owners didn’t know about the setup fee that they have to pay first, it didn’t come up in the sales call. The settlement company itself, though, doesn’t have the power to stop the creditor or collection company from getting a freeze order on your accounts. Once the accounts get frozen, there’s not going to be any income for debt reduction.
California’s Fair Debt Settlement Practices Act says debt settlement applies only to “obligations primarily for personal, family, or household purposes,” so it does not cover business debt. A bill to expand protections to at least some business debt, AB 1166, got as far as a State Senate committee in August 2025 and was held there. It still hasn’t become law and there’s no word on when that might happen. A Federal Trade Commission rule requires that if a debt relief company markets its services by phone, it can’t collect a fee until it’s settled at least one debt and you’ve made a payment to the creditor. It likely exempts attorneys from most of the Telemarketing Sales Rule if they meet the consumer face-to-face.
A UCC Lien Freezes Your Receivables
The Uniform Commercial Code is very different from the court system you know about from TV shows, and it is more aggressive. Courts can freeze your bank account, but a UCC lien freezes your receivables before the money gets to your bank. Funders don’t need a judge to make their move. They just mail the lien to your card processors and customers, telling them to pay the funder instead. Some drop you like they’re contagious and go find a new supplier. How do you run a business when you have no money coming in?
The confession of judgment is not a contract amendment, it’s an act of surrender. It waives your defenses and says, if I default, it’s judgment against me. New York got a lot of attention in 2019 for making it tougher for lenders to sue out-of-state borrowers by banning the confession of judgment in some cases. It’s still kosher in California. And while an out-of-state judgment might not be enforceable on its own, the creditor can still domesticate the judgment to get the California courts involved.
The merchant cash advance contract says the funder buys a certain amount of your future receivables. If no receivables come in, the funder shouldn’t collect its money. However, many contracts are drafted poorly, to the point that it can be argued they’re really loans. A true MCA is exempt from the usury laws, but if it’s really a loan, taking 100 percent to 200 percent of the debt in interest would likely be illegal. A Los Angeles debt settlement attorney can walk through your contract, the law, and your rights under the two.
Merchant cash advance lenders and brokers in California must follow the Commercial Finance Disclosure Law, which requires them to disclose total funds provided, term, payment amount and frequency, prepayment penalties, and total cost as an APR. Knowing your financial liabilities is the first step to getting them resolved.
An MCA broker works on commission. They make more money if you take on more debt. Many times, the broker gets cash advances for you from multiple funders at once. They’ll tell you the cash advance is temporary, and then the bank will give you a loan. A lawyer can bring claims against the broker and the funder.
Personal Guarantee
In most cash advances, you personally guarantee the debt. If you file a personal bankruptcy case and discharge your liability, that doesn’t end the obligation of your business to pay the debt. A business bankruptcy can discharge the debts of the business, but that doesn’t end your liability under a personal guarantee. If the guarantee is still valid, the lender can pursue you. Subchapter V bankruptcy is available only for debts under about $3.4 million. That $3.4 million cap is currently in place, as of October 2026, though a bill that would restore a $7.5 million cap passed Congress but has not been signed.
If you’ll pay more than $1,000 in legal fees, California law requires the lawyer to give you a written fee agreement, signed by both parties, unless the client is a corporation.
A debt settlement lawyer can reduce your debt, but the IRS will want its cut. Forgiven debt usually is taxable income unless you were insolvent or bankrupt. Lenders who forgive at least $600 in a year file Form 1099-C with the IRS.
Debt settlement can be a great option for some owners, and a horrible one for others. Understand the risks and have a plan in place to pay off the debt. Don’t wait until the lien is on file or the court date is set, or it’s too late. Remember, the statute of limitations to collect on a written contract is usually four years, and that’s plenty of time for a funder to plot their next move.
