THE SHORT ANSWER

Bottom line: When you pay off your merchant cash advance in full, the funder might not file the necessary termination notice. Trusting that they’d file when the obligation ended was often a mistake, and you discovered the lien was still on the records when a subsequent lender dug around. The same firm that supplied capital is the one that must terminate it with a UCC-3. If it refuses, you’re not stuck. Our recommendation: call Delancey Street first.

  • The four ways: voluntary termination, settlement, 20-day demand, five years.
  • The UCC-1: filed in the state where you formed your business.
  • UCC-3 form: it handles termination, continuation and collateral changes.
  • $500 penalty: for a funder who ignores your 20-day termination demand.

UCC Lien Termination

01

How to Remove a UCC Lien? Top Companies to Force UCC Lien Termination - 2026

There are four ways it comes off: the funder does it voluntarily, they agree to do it as a condition of a settlement or payoff, you force it after their refusal by making a demand in writing and allowing them 20 days to comply, or the status automatically expires after five years without a new filing. In theory, the default is to file a termination after a loan’s paid off. Banks and equipment lenders tend to do this as routine. Merchant cash advance funders are far less reliable.

The kind of lien filed matters. Equipment financing will only cover the equipment itself, while an MCA usually gets a blanket lien on all assets you already own or may acquire. This UCC-1 can stall an SBA loan, a bank line or the sale of the business, and you’ll discover this when the transactions are already underway.

The UCC-1 is filed in the state where the business is organized, not the one where it operates. A Delaware LLC doing business in New Jersey will have the UCC-1 filed in Delaware. Check filings in the state where you formed your business, and list all filings you find. California searches are free with no account. If your business is old enough, you might have more UCC filings on record than you expect. Match each filing to a position. Some might be old advances repaid years ago. Some might have been filed by brokers or ISOs without your realizing. Some could still be active.

Authenticated Written Demand

Sending your old funder an authenticated written demand under UCC 9-513(c) gives them 20 days to either file the UCC-3 or send you one. That letter names the UCC-1 by file number and date. It says the obligation is satisfied, so there is no more commitment, and demands termination in 20 days. It’s sent to the secured party at the address on the UCC-1 by certified mail, so the receipt can be proved.

If 20 days pass with no response, the debtor may file the termination themselves, but the form must say it’s on the debtor’s authority. The tricky thing about the UCC-3 form is it handles termination, continuation and collateral changes. You have to mark the box to show termination. If you check “continuation,” it extends the lien. The cost to file online in California is $5.

If a demand letter meets the legal requirements, a lender that ignores it faces a statutory penalty of $500 plus your actual damages. This can include the cost of a lost SBA or bank loan, or a higher rate on your replacement financing. Most funders cave. In some cases, lenders don’t file a termination notice because they claim there’s still something owed. This is an argument about the amount of the debt, not about your legal right to a termination letter.

Beware that the key statute, 9-513(c) excludes financing statements which cover purchased accounts. Since MCA is structured as a purchase, not a loan, some funders argue the twenty day rule doesn’t apply. They’ll call it a sale when you claim the transaction is a disguised loan. Whether this stands up depends on the agreement, the state law, and whether receivables were genuinely purchased at all. That will delay the termination if the funder sticks to his guns.

03

A Condition of the Settlement or Payoff

For any advance still live, make signed UCC-3 termination a condition of the settlement or payoff, delivered at payment or held in escrow. It’s not enough to just pay off an advance in a lump sum to get out of it for good. The funder must deliver the termination because that’s what he agreed to do. Regardless of how the contract is characterized, there’s a firm agreement that the advance and lien will end the day it’s paid off. It takes them one paragraph and saves you months of grief.

If you can’t find the holder of the advance, or the funder won’t terminate despite requests, or the filing looks fraudulent, outside help is often the only route forward. Nav says it usually means finding an attorney in commercial law or UCC matters.

On your own, a correction or information statement only flags a disputed UCC. It doesn’t remove it or make it less effective. A new lender will see the UCC is disputed.

If you rely on the five-year time limit, you must wait it out. If you have no plans to use other financing in the next five years and know there will be no continuation filed, that can take care of it.

Once a termination statement is filed, the UCC-1 isn’t effective anymore. It carries no credit score penalty itself but shows in commercial credit files. Still, rerun your search again, 30 days later. Nav says both D&B and Experian Business report UCC filings, so dispute old entries with a stamped copy of the UCC-3 and proof that the advance was paid off. Lenders read your public records, not your folders. You’re done only when that’s been cleaned up, not when you think you’ve contacted everybody.

UCC-3 Termination & Lien Removal - $100M+ Settled Nationwide

Why it wins: the only company on this list that handles merchant cash advance files directly, reviews your old contracts before recommending anything, and charges nothing for the first look.

Important: Delancey Street is not a law firm. They are a specialized MCA debt settlement company that works with a nationwide network of licensed attorneys. When an MCA funder refuses to terminate a UCC lien after payoff, their attorneys send formal demands under UCC §9-513, file correction statements under §9-518, and pursue lawsuits under §9-625 for damages.

Here is how it works. Your attorney sends the funder a formal authenticated demand for UCC-3 termination. The 20-day clock starts. If the funder complies - problem solved. If they refuse or ignore the demand - your attorney files a correction statement immediately and initiates a lawsuit for actual damages, $500 statutory damages, and attorney fees. Most funders terminate the lien as soon as they receive the demand letter. They know the law is not on their side.
