Delancey Street offers an initial consultation about business debt and MCA concerns. The company is not a law firm; legal matters require independently licensed counsel. Services and eligibility depend on your circumstances and the written engagement.

National Debt Relief describes services for eligible unsecured business obligations. Its published qualifications distinguish unsecured accounts from debts supported by collateral. Confirm that the particular account qualifies and ask what support is available if litigation begins.
CuraDebt
CuraDebt describes assistance with eligible business obligations, including some merchant cash advances. Its service disclosures explain that inquiries may be connected with independent providers or law firms. Establish who will perform the work and review that provider’s engagement, fees, and eligibility requirements.
If you run a business in Nebraska and the daily merchant cash advance withdrawals are squeezing the balance sheets to a breaking point, the short answer is yes: you can hand it off to an attorney before or after missing a payment or being sued. But the handoff only works if you bring every agreement, pin down the scope of representation and fees in writing, understand what Nebraska law can and can’t do, and know that hiring doesn’t stop a lawsuit.
There is no rule that says you have to be in default before asking. If the payments are going out on time, but the trap is so tight it’s cutting off blood flow, that’s a good moment to ask for a review. The most important thing is to explain what you’re paying on every advance, how it all works, and bring every agreement so the lawyer can see all the MCAs. Also bring bank statements for the last few months, plus records on how much you sent them, reconciliation requests, the funder’s responses, a list of funders with claimed balances, plus any collection notices, lawsuit papers, judgments or bank-restraint documents, and copies of any personal guarantees.
If you don’t already have a name, start with the bar. The state’s NebraskAccess site lists the Nebraska State Bar Association’s Find-A-Lawyer referral line, toll-free 1-800-927-0117, for callers outside Lincoln.
Scope of Representation
Before signing, confirm who the responsible attorney is, which business entities are covered, which individual owners are covered, and who appears in court. If your business is an LLC, corporation, or any entity other than a sole proprietorship, it may be sued separately as well as the owner who signed the guarantee. Finally, go over the proposed scope of representation: is it to negotiate, to try a lawsuit, or both?
Nebraska’s rules about fee agreements say the scope of the work must be explained, with either the rate or basis of fee and expenses, “preferably in writing,” either before work starts or within a reasonable time after. If it’s a contingent fee, the same rule says the client signs a writing stating how it’s calculated, including the percentage.
Whether It’s Legally a Loan
While the contract may say it’s a purchase of future receivables, that doesn’t decide whether it’s legally a loan. What matters is how the contract operates, who carries the business risk, how the payments are calculated, if and how a reconciliation works, if there’s a personal guarantee, together with the governing law. An MCA’s headline “factor rate” is not the annual interest rate. So the real impact of an advance depends on the amount advanced, the fees, the timing of payments, and the total owed. Some agreements show an estimated withdrawal amount that is subject to reconciliation or change depending on your collections. The same agreement may give the funder a security interest and UCC filing, so don’t assume it’s collateral-free.
Nebraska’s general usury limit is 16% a year on unpaid principal. But the statute doesn’t apply to loans made to corporations, limited liability companies, partnerships, or trusts, or to anyone who guarantees such a loan. And where Nebraska usury law does apply, the contract isn’t void but the lender recovers only principal, with no interest. Several states have merchant-cash-advance disclosure laws and other oversight rules, and the FTC does bring enforcement actions, like its Richmond Capital action in 2022. But it’s not accurate that every MCA is exempt from all usury laws. Even if an MCA was unlawfully made, that doesn’t mean the balance goes to zero, or the deadline stops ticking for your court defense.
A “confession of judgment” provision doesn’t by itself settle whether the creditor can use it lawfully. A 2019 New York law now outlaws creditors from filing confessions of judgment against out-of-state debtors in New York courts. And in Nebraska, an attorney confessing judgment must show the court the warrant of attorney and file it, and Nebraska cases have held that a confessed judgment against a corporation is void without the warrant. None of this means an attorney can promise a reduction in total payments, a dismissal, release of restrained funds, or that the business stays open. Options are fact-driven, depending on the written contract, the evidence, governing law, and where the case is.
Your Business Is in Default
When the funder says your business is in default, don’t answer from memory. Pull the notice, find the agreement provisions it’s leaning on, and lay out your payment records. The conversation starts there. The next step may be demand letters, a lawsuit or other collection steps. Keep an eye out for notices that mention your bank, payment processor or customers.
When you first contact a lawyer, it doesn’t stop the clock or halt collections, not even if you’re having a meeting or negotiating. Negotiating doesn’t extend time, dismiss a lawsuit, or release restrained funds. The last thing you need is a surprise deadline, so identify the court and case number, who’s in the case, how it was started and how the papers were served, the deadline to answer, and flag any judgment or restraint order.
In a suit for breach of an MCA contract, the papers may call for payment on contract and guarantee provisions. A defense review would look at the whole agreement, the amount claimed, payment credits, and reconciliation history. In Nebraska, a lawsuit on a written contract must be filed within 5 years.
If you have several advances, look at them together, not one payment reduction in isolation. With a list showing each funder, amount received, claimed balance, payment frequency, and the business’ operating costs, see what it would take to keep the doors open. And don’t confuse negotiating with “getting a new advance”: that’s creating a different obligation. With new financing, understand which MCA will be paid off and which stay open, and the full cost. Sometimes, if the debt adds up to too much, you may look ahead to “Subchapter V” reorganization, the small-business option, but only if debts are currently $3,424,000 or less. This figure was set by the April 1, 2025 inflation adjustment.
If you decide on a handoff, talk through what might happen next with your attorney, before you stop payments, sign new agreements, or agree to a settlement. With a lawsuit, talk through what any settlement might say about the case, and if it releases guarantees, judgments and liens.
