California, Texas, and New York illustrate different approaches. They provide a starting framework; businesses in the remaining jurisdictions need a current review of their own state's rules rather than an assumption that silence in a short guide means no regulation.
1. California: Preserve the Financing Disclosures
California's commercial financing disclosure regulations took effect in December 2022 and cover specified products, including MCAs and factoring. The framework addresses funding, cost, payment information, and other terms relevant to comparison.
The DFPI's April 2025 advisory also describes protections against unfair, deceptive, or abusive commercial financing practices under rules effective in October 2023.
Simply retaining the signed agreement may leave the original disclosures missing. Keep both, along with the offer and deposit record.
2. Texas: Check Covered Offers and Exemptions
Texas House Bill 700 took effect September 1, 2025 and created Finance Code Chapter 398. It applies to covered providers and brokers serving Texas recipients over the internet even without a physical presence in the state.
Covered specific offers under one million dollars require stated disclosures, including financing and disbursement amounts, finance charges, payment information, and broker compensation. The law contains exemptions, including specified financial institutions and transactions.

3. Texas: Separate Restrictions From Private Remedies
Section 398.055 declares a covered commercial sales based financing contract containing a confession of judgment or similar provision void and unenforceable. The statute also regulates certain automatic debit mechanisms and establishes registration requirements.
Existing operators received a registration transition through December 31, 2026. Registration should not be treated as an endorsement of a particular offer.
Section 398.102 states that the chapter does not create a private right of action based on compliance or noncompliance. Counsel should review and analyze available defenses and remedies rather than assume every violation supports the same lawsuit.
It is extremely important to keep those propositions together. A substantive restriction and the route for asserting its effect are separate legal questions.
The law also prohibits the commission from adopting a maximum APR, finance charge, or fee under the chapter. It should not be described as a new universal MCA interest cap.
4. New York: Examine Substance and Judgment Procedure
In LG Funding v. United Senior Properties, the Second Department examined reconciliation, term, and bankruptcy recourse in assessing absolute repayment. The opinion preserved defenses and factual issues rather than invalidating every MCA.
CPLR 3218 separately governs confession of judgment affidavits and filing. Its entity residence rule refers to any county with a place of business, not only a principal office.
Resist the urge to combine those different rules into a general promise of cancellation. A funder may pursue an available claim in order to recover a disputed obligation even where a particular procedure is challenged.
A peculiar weakness in state comparisons is treating every protection as though it performs the same work. Disclosure, classification, registration, and judgment procedure do not.
For any state, separate a provider registration obligation from a borrower remedy. The existence of a regulator or filing requirement does not establish automatic cancellation. Counsel should identify the enforcement route supported by the applicable text before recommending action.
5. Other States: Verify the Actual Rule
Check current statutes, regulations, effective dates, and coverage with qualified counsel. Identify the business location and contractual governing law.
Do not infer an exemption from the absence of a state in this representative comparison. Keep the source date with the research.
