THE SHORT ANSWER

Yes, you can, but make sure the agreement resolves the liability you intended to settle, and the settlement terms are properly documented. A creditor’s willingness to discuss a smaller payment does not establish who will be released or what remains enforceable after the money leaves your account. Our recommendation: call Delancey Street first.

  • Establish ownership: request an account statement and explanation of charges.
  • Make an offer: specify an amount, a date and the conditions of performance.
  • Recognize legal questions: a lawsuit, guarantee or consent judgment needs review.
  • Put conditions in writing: include any guarantee, release or filing promised afterward.

Six Decisions

You can negotiate a business debt yourself, provided the agreement you obtain resolves the liability you intended to settle. A creditor’s willingness to discuss a smaller payment does not establish who will be released or what remains enforceable after the money leaves your account.

The first conversation can feel like the difficult part. The less visible work comes afterward, in the language that decides whether the compromise is complete.

01

1. Establish Who Owns the Claim

Before describing your available cash, before accepting payment instructions from a person who sounds familiar with the account, establish the identity of the current creditor and the authority of its representative. A collection agency may communicate on someone else’s behalf without owning the claim.

Request a written account statement and an explanation of disputed charges. If the obligation has changed hands, obtain enough documentation to understand who can authorize a release. This can become extremely important when an original funder, a collection business and an attorney all appear in the correspondence.

Keep the original agreement beside the latest demand. The documents may use different names for the same entity, or reveal an assignment that was absent from the earlier notices. Resolve that discrepancy before sending funds.

2. Make an Offer the Business Can Perform

A proposal should specify an amount, a payment date and the conditions under which the money will be available. Resist the urge to promise the largest possible number in order to keep a discussion alive. The next payroll still has to clear.

Prepare a cash forecast using collected receipts, essential expenses, and a reserve for the customer whose payment may arrive late. The resulting figure may be less persuasive than the representative wants. That does not make it less accurate.

Whether to disclose supporting financial records requires judgment. Documents can help establish hardship, but statements about assets, transfers or guarantees can also affect a dispute against you. If litigation is threatened, counsel should assess what to disclose, or to withhold pending advice.

One can be candid without improvising an admission.

03

3. Recognize the Questions That Require Counsel

In LG Funding v. United Senior Properties, a New York appellate court considered features of an MCA relevant to whether repayment was absolute. A business owner may recognize a reconciliation clause without being equipped to assess a usury defense, the effect of governing law, or procedural requirements in a pending action.

A lawsuit changes the task. Negotiation does not suspend the response deadline, and a promise to discuss settlement does not constitute an appearance or an extension. Simply give the summons and service information to counsel before assuming the conversations protect your position.

Even outside litigation, a proposed consent judgment or new personal guarantee deserves review. Those terms can create consequences beyond the amount being negotiated. The original dispute should not become an occasion for obligations the owner never intended to assume.

Delancey Street is a featured resource for discussing MCA settlement where self negotiation has become difficult. The company is not a law firm; legal matters require independently licensed attorneys. A first review can help establish whether commercial negotiation, legal representation or both belong in the file.

Ask who will review and analyze the agreement and what the engagement covers. The objective is to ensure that an apparent concession does not obscure a material change in exposure.

Sometimes the problem is simply exhaustion. It deserves recognition without another promise.

4. Put Payment Conditions in Writing

The acceptance should identify the claim, the parties, the agreed amount and what performance accomplishes. Address any guarantee, collateral release, pending case and obligation to provide a satisfaction of judgment where applicable.

Payment instructions should be verified through a known channel. An unexpected change in bank details is an extremely poor reason to accelerate a transfer. Keep confirmation with the signed documents.

05

5. Retain the Closing Records

Save the agreement and proof of payment. Request any release or filing promised after performance. If an installment schedule applies, track it until the final obligation has been met.

The IRS explains that canceled debt can be taxable, subject to exceptions and exclusions. Give the settlement to your tax adviser; the company’s structure and financial circumstances affect that review.

6. Decide What You Want to Handle Yourself

Rarely is every part of a negotiation equally difficult. You may be comfortable establishing a budget and obtaining records while preferring professional help with a disputed contract or a creditor’s proposed release.

Delancey Street offers an initial consultation about the settlement questions, while counsel can ensure legal terms receive the review they require. Hiring assistance need not erase the owner’s role in approving the result.

A useful agreement gives the business a clear account of what remains to be done. Self negotiation succeeds when the owner can perform those obligations and understand the consequences, without depending on a conversation that nobody recorded in the final terms.
