If you are carrying the burden of $250,000 in stacked merchant cash advance debt, you have entered into a cycle of debt that is extremely difficult to get out of. You could restructure or refinance, or reach a negotiated settlement; you could seek the court’s protection or use a mix of those approaches. Which of those is open depends on the five things that define the problem: the real balance owed to each, the daily drain, the contract terms, the order the funders each funded in, and your sense of whether the business is even viable without the debits. Get those numbers down before you pick up the phone.

You take one advance; the daily debits contract the cash coming in. You have to take a second to cover the slowing cash the first caused. You do that and take a third and fourth and the story just keeps repeating itself. You can have a half dozen positions on your stack in under a year. Most owners start reaching for relief before they’ve measured anything. They call the funding companies and plead. That is counter-productive. Everything works better if you know what has hit you.

MCAs Are Not Loans

The most painful lesson you will learn is that MCAs are not loans. They are purchases of future receivables. What counts is the full “RTR” or total payback, not the amount of the original advance. Write down for each funder how much was advanced, the full RTR, what you have already paid to them, and what of the full RTR is still owed. Then total the “still owed.” That is where you really are. Most people are unpleasantly surprised by what this comes out to. You will also see that the daily debits hide the total stack’s true cost, making it feel more bearable than it really is.

Add up the total of what the different funders are taking out of your business, daily and monthly. Then look at what else needs to come out of the monthly total income for payroll, rent, supplies, taxes, that kind of thing. Stack your stack up against them and see how high that bar gets. This shows how much an exit from MCA debt has to give you. The higher the percentage, the less time you have to act.

Contracts You’ve Signed

Re-read all of the MCA contracts you signed, preferably with your attorney. A lot of these you signed, took the money, and forgot. Were you stuck with a personal guarantee, meaning the funder can go after you personally if the business tanks? Did they insert a reconciliation clause? A reconciliation clause lets payments drop if your revenues do. That is a right, not a favor, which is frequently overlooked. Did taking out the last advance count as a default under terms of any of the earlier ones?

Watch out for old contracts with a confession of judgment clause, allowing the MCA provider to get a judgment against you fast. Since August 2019 New York no longer allows these confessions to be filed there for out of state businesses, and other states have their own policies.

When it comes to what actually counts in New York, a finance company may claim it is not a loan. New York courts usually look at three things when they decide whether MCA debt is a loan. These are whether a reconciliation is ever taken into account, whether the term of the contract is finite, and whether the MCA provider has recourse if the merchant files bankruptcy. In July 2026, the federal bankruptcy court in Manhattan treated 19 MCA agreements as loans. Where a payment is defined as a loan, interest above 25% a year violates the state’s criminal usury law.

Looking again at contracts you’ve signed can seem like the most tedious job in the world, and everyone wants to outsource it or shortcut it somehow. You should try not to. You, or a close, competent staffer, need to read them. There is no way to know what your actual leverage on them is until you have.

Next, which funders came in first? Which ones are most aggressive about collections? Are there reconciliations available? Some Merchant Cash Advance companies chase debts aggressively; others want to restructure. You rarely fix this all at once. You have to figure out which can best help you cut your most damaging obligation, in a way that does not make it harder to fix it elsewhere.

Last, you need to answer the really scary question: does the business still cover operating costs with a margin, once you take the MCA debits out? This question is the one too many entrepreneurs skip. If yes, restructure or refinance. The debt is the problem, not the business. If not, restructuring only delays the inevitable, and you are going to have to reach some negotiated settlement, or work your other choices.

The Court’s Protection

If nothing else gets you off the hook, the court’s protection is there. You need an attorney to walk you through this, but it is an option. As soon as a bankruptcy petition is filed, funders cannot try to collect further. Neither can they enforce any judgments won before you file. A $250,000 stack is well under the $3,424,000 debt limit for using Subchapter V for a small business restructuring, as long as at least half your total debts come from the business, and not your life as a consumer.

Filing starts the clock ticking on deadlines for filing your Subchapter V plan. You have just 90 days after filing to put together your plan, unless the court allows you more time. Only you can file it. In Chapter 7, no LLC or corporation can get a discharge. Payments to creditors in the 90 days before you file can be reclaimed.

If you restructure or do a settlement, be aware that forgiven amounts generally count as taxable income. If the lender writes off $600 or more, you are likely to get a Form 1099-C from them saying how much. A debtor filing Form 982 can exclude forgiven amounts from their income, up to the amount by which the person is insolvent just before they agree to the settlement. Getting the UCC filing behind each position removed is another thing to negotiate for in settlement.

So you have picked through all the numbers and written them down, and now have those five answers. Only then can you pick up the phone and call one of the funders. If you start off not knowing these things, you often end up bargaining on the funder’s terms. Once you do know the ins and outs, you will not be as inclined to panic and start making decisions you will regret later.
