1. The 9.75% Exit Left the Market

Through May 31, 2025, the cheapest exit a stacked business could reach carried a federal guarantee. Procedural Notice 5000-862692, effective December 6, 2024, told 7(a) lenders they could refinance merchant cash advances and factoring balances, on the express reasoning that such facilities are presumed to not be made on reasonable terms. The rescue loan was capped paper: with prime at 6.75%, the variable ceiling on a 7(a) loan above $350,000 is 9.75%, and it climbs to 13.25% only on loans of $50,000 and under. The manual that governs today is posted at sba.gov, and that permission is not in it.

Price what remains and the size of the loss stops being abstract. Rate surveys of online and alternative term lenders in 2026 cluster between roughly 20% and 60% APR. Stacked files get quoted at the top of that band when they get quoted at all, and advance paper still sits above it once a factor rate is annualized. On $300,000 of balances, a 10-year note at the 9.75% ceiling costs about $3,900 a month. The identical $300,000 on a 24-month online term loan in the mid-30s runs about $17,500 a month, four and a half times the payment on the same principal.

The honest footnote is that the shorter note repays fewer total dollars, roughly $421,000 against $471,000 over the decade. The footnote changes nothing, because survival is decided at the monthly line and a business already feeding daily debits does not clear a $17,500 payment. A guarantee exists to make a bank hold a file it would otherwise decline, and once the guarantee walked away from stacked merchants, no private desk volunteered to write 9.75% paper on a deposit account showing three funders. The gap is simply what your file costs without a federal cosigner behind it.

Price the Gap: On $300,000 of stack: about $3,900 a month at the 9.75% ceiling over 10 years, against about $17,500 a month at a mid-30s APR over 24 months. Totals repaid run $471,000 and $421,000. The monthly figure, not the total, decides whether payroll clears, and the monthly figure moved by a factor of 4.5.

2. The Replacement Products Price Your Desperation

Demand did not evaporate when the permission did; it walked across the street. The volume that used to flow toward guaranteed refinancing now lands in three places. Reverse consolidations put a new funder’s weekly deposits behind your existing daily debits while you repay the new position on top. High-rate online term loans occupy the band priced above, and a share of what gets marketed as consolidation is itself a purchase of future receivables with a fresh UCC-1 attached. Think about the pricing from the desk quoting you. A lender facing an applicant whose cheaper alternative still exists must beat that alternative or lose the file, and until June 2025 the alternative was single-digit guaranteed paper. The same lender facing the same applicant today competes against nothing except the applicant’s willingness to keep bleeding, which is why the quotes stack toward whatever the file will tolerate. SBA’s December 2024 notice had presumed these facilities were not on reasonable terms; the agency then withdrew the rescue while leaving the presumption standing, and the market it described went back to pricing exactly the way the description said.

The defense is categorical reading. A contract that sells future receipts at a discount with a daily or weekly remittance is an advance whatever the brochure calls it. A term sheet whose total payback exceeds your current combined balances has consolidated nothing, and a provider that will not state an annualized rate has answered your question by refusing it. Compare every replacement offer against a settlement quote on the same balances before signing, since the settlement is the one number in the room that shrinks the debt instead of restating it.

One Number to Demand: Get the APR in writing before signing any replacement product. California’s SB 1235 disclosures and New York’s Commercial Finance Disclosure Law force most commercial financers under their coverage caps to state one, and a funder that refuses to put an APR on paper in a disclosure state is telling you where the deal really prices.

3. Brokers Are Still Selling the Dead Window

Confusion on this subject has a specific calendar. Refinancing advances with 7(a) money was prohibited before December 6, 2024, permitted for the roughly six months Procedural Notice 5000-862692 lived, and prohibited again for every application numbered on or after June 1, 2025. An entire generation of marketing was written inside that window, and marketing ages slower than rules. Pages still rank in 2026 urging owners to gather payoff letters and beat a deadline that expired in the spring of 2025, and pitch decks built for the window are still being read aloud over the phone.

A broker’s economics explain the persistence better than ignorance does. Commission is earned on whatever closes, the SBA name is what gets a distressed owner to return a call, and the file that fails SBA screening gets walked into a reverse consolidation or a fourth position the same afternoon. In the files we work, the owner rarely remembers agreeing to the substitute product; the conversation started with a 9% consolidation and ended with a signature. Many states still require no license to broker business-purpose financing, so nothing stands between the pitch and your bank statements except your own document reading.

Meanwhile the wasted cycle has a price you can total. A stack pulling $780, $1,020, and $460 each banking day remits $2,260 daily, about $47,500 a month, and a 90-day application ordeal, roughly 63 banking days, sends $142,000 out the door in remittances while you wait on a loan that was never going to close. Add the hard inquiries, the payoff letters that expire while the file sits, and the tax transcript cycles, and chasing the dead window costs more than most settlements would have.

Two Questions for Any Broker: Ask which provision of the current SOP authorizes refinancing your advances, and which lender is funding it. No such provision exists in SOP 50 10 8, so a truthful first answer ends the pitch, and any named lender can be called directly and asked whether its SBA department will take out merchant cash advances. Date-check every article a broker sends you.

4. Eligibility Became a Sequencing Problem

Nothing in the SOP forbids lending to a business that carries advances; the bar is on refinancing them. In practice the distinction is thin comfort, because the restored underwriting counts every daily debit against your cash flow and the funders’ UCC-1 filings stand ahead of any new lender’s collateral, so the stack usually disqualifies the file before the refinancing rule even gets consulted. What the closure really did was reverse an order of operations. The loan used to be the thing that shrank the stack, and now the stack has to shrink before the loan becomes possible.

The fear that stops owners from acting on that sequence is the idea that a settled advance becomes a federal black mark. Read the statute the screen actually comes from: 31 U.S.C. §3720B bars federal loans and guarantees to a person with delinquent federal nontax debt, and a merchant cash advance was never federal debt of any kind; it is private commercial paper between your company and a funder. The borrower that screen does catch is the one carrying a defaulted EIDL note or a prior SBA charge-off, obligations that actually run to the government, and settling private advances does nothing to worsen either.

This is the consequence Delancey Street was built for. The Federal Debt Screen: 31 U.S.C. §3720B reaches delinquent federal nontax debt: a defaulted EIDL, an SBA loan the government took a loss on, unpaid federal penalties. Settled private advances sit outside it entirely. If you do carry real federal delinquency, cure or resolve it before applying for anything, since the statute’s waiver authority belongs to agency heads and is not something to plan around.

5. The Working Capital Workaround Is a Certification Trap

Every stacked owner has the same idea within a week of learning the rule: borrow 7(a) working capital and quietly wire it to the funders. Under 13 C.F.R. §120.120, 7(a) proceeds may fund working capital and may refinance certain outstanding debts, with the SOP deciding which debts qualify. The use of proceeds travels with the file in writing: the application itemizes it, the authorization incorporates it, and the closing documents have you certify it, so the plan requires stating one purpose to a federal agency while executing another.

The exposure is written down. Under 15 U.S.C. §645(a), a knowingly false statement made to obtain an SBA loan carries a fine of up to $5,000 and up to two years of imprisonment, or both. The paper trail proving the diversion is your own wire to the funder the morning after funding. Below the criminal line, the note’s covenants let the lender call the loan on discovering misuse, and a guaranty purchase review that finds proceeds routed to an excluded purpose puts the whole relationship into workout with your personal guaranty attached.

Notice who carries each side of that trade. The packager who floated the idea earns a fee at closing and signs nothing, while the certification sits under your name for the life of the loan. The lawful version of the same instinct is to shrink what the advances cost through negotiation, which requires no federal form, no stated purpose, and no one’s permission but the funder across the table.

What Your Signature Certifies: Use of proceeds is stated on the application, incorporated into the loan authorization, and certified at disbursement. Routing 7(a) working capital to an MCA payoff contradicts all three documents at once, and 15 U.S.C. §645(a) prices a knowingly false statement at up to $5,000 and two years. 6. Half Your Debt May Still Qualify

The prohibition is precise, and precision cuts both ways. Under the current SOP, a 7(a) loan can still refinance business credit card balances where the applicant certifies the cards were used exclusively for business purposes. Conventional term loans, business-purpose home equity lines, revolving lines the original lender declines to renew, and SBA loans held at other institutions all remain on the eligible list as well. A restaurant carrying two advances alongside $60,000 of cards and an equipment note is not one ineligible file; it is an ineligible half stapled to an eligible half.

Eligibility still has to be earned on the qualifying side. The debt being refinanced generally must have been current for the last 12 months, with nothing unpaid more than 29 days past due, and the new loan must cut the installment payment by at least 10%. Credit cards, demand and balloon notes, and non-renewed revolvers are exempt from that second test. Both conditions read like they were drafted to screen out distress, and they were, which is why the sequencing in consequence four matters: the eligible half qualifies most easily after the advances stop shredding the bank statements.

Run the split on real numbers and the strategy prices itself. On $400,000 of mixed debt, refinancing $170,000 of cards and equipment paper at bank rates drops that side’s monthly cost sharply, while the $230,000 in advances gets negotiated rather than refinanced, at the 30-60% range settlements typically reach, with terminations filed as positions close. Each half improves the other: the refinance frees the cash flow that funds settlement, and every settled position cleans the statements and the UCC index the refinance underwriter will read.

The 10% Test: A term debt you refinance with 7(a) money generally must come out at least 10% cheaper on the installment payment, measured against what you pay now, and must show 12 clean months behind it. Cards and non-renewed revolvers skip the 10% math but keep the currency requirement, and your certification of business-purpose use gets retained in the loan file.

The Working Sequence for a Stacked File in 2026

Start with two lists, built the same evening. Pull a UCC search on your exact registered legal name and match every filing to a balance. Then sort every business debt you carry into the ineligible column, advances and factoring, and the eligible column, cards, term notes, lines, and any older SBA paper at another bank. The columns are not equal in urgency: the ineligible column is dictating your daily cash and blocking your collateral, while the eligible column is mostly waiting for the statements to improve.

Work the ineligible column first, through settlement or restructuring, and insist that every agreement carries a release and a UCC-3 termination as deliverables rather than promises. Take advice before changing anything about how the debits are paid in the meantime, because revoking an authorization or moving accounts is a legal act with consequences under your agreements, and a negotiation conducted mid-default is a different negotiation. As positions resolve, the remittance total falls, the NSFs stop, and the utilization behind your SBSS score starts to reprice.

Only then does the eligible column go to a lender, carrying 6 to 12 months of statements that no longer show a funder feeding frenzy. The sequence takes real time, and the time is the honest cost of the 2025 rule change: what a single closing used to accomplish now happens in stages, negotiation first and financing second. Owners who run the stages in that order end up bankable; owners who run them backwards spend $47,500 a month waiting on declines.

Build the Two Lists: Column one, ineligible for any SBA refinance: merchant cash advances and factoring. Column two, still eligible: business credit cards with the business-use certification, term loans current for 12 months, non-renewed revolvers, other-bank SBA debt. The contract decides, not the payment schedule.
