A contract is a written or verbal agreement intended to be enforceable by law. Contracts frequently concern employment, sales (of goods, property), or tenancy (living). Contracts have specific terms and require a promise to do something in exchange for some benefit (this is called valuable consideration).
There are required elements for a contract to be in place: (1) an offer, (2) acceptance of the offer resulting in agreement, (3) a promise to perform, (4) valuable consideration, and (5) commitments as to time/event. A breach of contract is when the binding agreement is not honored by one or more the parties (there is non-performance of a term). If a party to a contract fails to fulfill an obligation under the contract, or provides notice they cannot perform, this is a breach of the contract. Breaches may be “minor,” meaning that they are involving something immaterial in the contract or are partial (most of an item has been performed, but not all of it) and can be “material,” meaning it involves a key promise in the agreement.
Contracts are typically governed by state law, which may vary in how to determine a breach of contract is determined and litigated – including what damages can be obtained by the wronged party.
