Alaska Business Debt Restructuring
Twenty-Five Thousand Dollars Is the Number That Sorts an Alaska File
Alaska gives a creditor three years to sue on contract or liability generally. After three years, a defense to the creditor lawsuit may be that the claim is stale. The specific words on the contract, or legal exception from the law, decide.
Extra interest adds on default of a contract, or other overdue debt, at the legal rate of 10.5% a year, according to state law, unless you agreed with creditors a different rate. The state cap on agreed interest does not apply when the principal is more than $25,000. These rates do not change when your business is losing money. Judgments, including prejudgment interest, earn three points above the 12th Federal Reserve District discount rate set on January 2 of the judgment year. One exception is for written contracts with a specified interest rate, not to exceed the legal rate.
Alaska’s exemptions, or legal shields, for tools and earnings and home equity set how much a bank can force you to pay by going to court. Exempted assets are your private residence, $72,900 of its equity, tools and machines for your trade up to $3,780, and $473 of weekly net earnings.
In Alaska, if you personally guaranteed the loan or contract at issue, the personal promise can keep you liable to creditors if the company files Subchapter V bankruptcy. Forbearance drafts often ask for releases, new collateral, and guaranties: negotiate what you pay for these.
Inside a bankruptcy of the corporation, the trustee can challenge payments or liens for 90 days before the filing, on grounds that the move unduly favoured one creditor, where everyone deserved equal shares. The law applies for one year when owners and insiders are paid. You need to proceed cautiously. No hard and fast rule decides the ordinary course defense to the 90-day clawback. Courts look at how recently you dealt on the same scale with your bank, before the workout.
After negotiation, a bank may write off some debt as bad. The amount the bank writes off can result in taxable income: keep records. Exceptions and exclusions limit the amount included in income. Sec. 108 spells out the tax rules. Planning pays off, before closing the deal, in coordinating with tax advisors.
Continuing to operate while paying payroll taxes you owe includes options. The IRS can set up an installment plan, if you owe the Service $25,000 or less, and payment in full can be complete by the Collection Statute Expiration Date. The Simple Payment Plan (Business Trust Fund) replaces the In-Business Trust Fund Express.
Subchapter V bankruptcy provides a cure if the creditor you need won’t go along, if you qualify. But the current debt limit is $3,424,000 of noncontingent liquidated debt, at least half of it from business. A pending bill could more than double the limit to $7.5 million, but it needs the President’s signature. The new debt limit would apply only if the Chapter 11 filing occurs on or after the law is enacted. Timing a filing to use the higher limit would depend on when this happens.
A 13-week Forecast
Together with owners and officers, plan, as soon as practicable, to build a 13-week forecast; gather your ledger, the loan papers and every document that backs up your corporate covenants; assemble a list of anyone else who guaranteed loans. Project your end-of-the-month cash position over 13 weeks, to show if you can make payroll and pay the bills you need to pay. Do the math.
Plan how the cash will flow once the forbearance breathing room closes, the bank steps in or the bankruptcy court decides.
